Design and Approvals. Subject to the terms of the Joint Venture Agreement, the Joint Venturers and the Development Manager are jointly responsible for obtaining the Approvals for the Works the subject of the Project including briefing and monitoring consultants in the preparation of the Plans and Specifications.

Design and Approvals. EL acknowledges that it is solely responsible for: (a) The design and manufacture of any Licensed Products which utilize the Foam, the Foam Technology, LD Implants, the LD Implant Technology, Soft Tissue Patents, or Materials and which are manufactured, developed, tested or sold by EL or its Affiliates. Design and Approvals. The Company shall perform all design work and other work necessary to obtain, and shall obtain an approved amendment (or amendments, as necessary) to the Facilities Plan issued by the Department of Ecology and all applicable Governmental Approvals which are required to be issued under Applicable Law for the commencement of construction of the Design-Build Improvements, except for those Governmental Approvals specified in Schedule 3 hereto to be obtained by the City, in a form and substance satisfactory to the City. All Governmental Approvals shall be final. In addition, the Company shall cooperate with and assist the City in obtaining all Governmental Approvals which the City is responsible for obtaining. The Company shall provide the City with final Design Documents and copies of all Government Approvals in accordance with Schedules 3 and 12.

  • Authorizations and Approvals Each Borrower shall promptly obtain, from time to time at its own expense, all such Governmental Approvals as may be required to enable such Borrower to comply with its obligations, under the Loan Documents and its Constituent Documents, and to conduct its business in the customary fashion.

  • Authorization and Approvals No authorization or approval or other action by, and no notice to or filing with, any Governmental Authority is required for the due execution, delivery and performance by the Borrower, the Parent, or any Guarantor of the Credit Documents to which it is a party or the consummation of the transactions contemplated thereby. At the time of each Borrowing, no authorization or approval or other action by, and no notice to or filing with, any Governmental Authority will be required for such Borrowing or the use of the proceeds of such Borrowing the absence of which could reasonably be expected to cause a Material Adverse Change.

  • Permits and Approvals Consultant shall obtain, at its sole cost and expense, all permits and regulatory approvals necessary in the performance of this Agreement. This includes, but shall not be limited to, encroachment permits and building and safety permits and inspections.

  • Licenses and Approvals Contractor shall obtain and keep current all necessary licenses, approvals, permits and authorizations required by Applicable Laws to provide the Work. Contractor will be responsible for all fees and taxes associated with obtaining such licenses, approvals, permits and authorizations, and for any fines and penalties arising from its noncompliance with any Applicable Law.

  • Inspection and Approval ▇▇▇▇▇▇ agrees that OUSD has the right and agrees to provide OUSD with the opportunity to inspect any and all aspects of the SERVICES performed including, but not limited to, any materials (physical or electronic) produced, created, edited, modified, reviewed, or otherwise used in the preparation, performance, or evaluation of the SERVICES. In accordance with Paragraph 3 (Compensation), the SERVICES performed by VENDOR must meet the approval of OUSD, and OUSD reserves the right to direct VENDOR to redo the SERVICES, in whole or in part, if OUSD, in its sole discretion, determines that the SERVICES were not performed in accordance with this AGREEMENT.
