Design and Construction of Project. 1Seller’s Obligations. At no cost to Buyer, Seller shall:
Design and Construction of Project. Subdivider agrees to design and construct a complete and operational Project fully suited to the purpose for which it was designed and in accordance with this Agreement; the Plans and Specifications; and the Financing Plan. Subdivider also agrees to design and construct Project within the timeframe established by the Project Schedule attached as Exhibit F, and for the Estimated Costs attached as Exhibit G.

Design and Construction of Project. 9.1 Seller, at no cost to Edison, shall acquire all permits and approvals, and complete, or have completed, all environmental impact studies required for the construction, operation and maintenance of the Project.
9.2 Edison shall have the right to review the electrical drawings pertaining to the design of the Project and the Point of Interconnection. Such review shall be done in a timely manner and may include, but not be limited to, the generator, governor, excitation system, sychronizing equipment, protective relays and neutral grounding.
9.3 Edison shall have the right to require modifications to the design of the Project and/or the Point of Interconnection as it deems necessary for proper and safe operation of the Project when in parallel with the Edison electric system. If Seller does not agree to such modifications, the differences between the Parties shall be resolved pursuant to Section 25 prior to design approval.
9.4 Seller shall furnish, install, operate and maintain in good order and repair and without cost to Edison, the relays, meters, power circuit breakers, synchronizer and other control and protective apparatus as shall be agreed to by the Parties pursuant to Section 9.3.
9.5 Future changes on the Edison electric system and/or to the Project may require modification of the design of the Project or the Point of Interconnection. Any such modification, whether proposed by Edison or Seller, shall be subject to the provisions of this Section 9.
9.6 Edison shall have the right to monitor the construction, start-up, operation and maintenance of the Project and have the right to consult with, and make recommendations, to Seller's Operating Representative.
9.7 Seller shall furnish to Edison the Project construction schedule and shall notify Edison, at last one (1) year prior to the Date of Firm Operation, of any changes in such schedule which affect the Date of Firm Operation.
9.8 Edison shall have full access to all Project operations a have the right to use, solely for itself, free of royalty payments, any technological innovations developed by Seller in producing Net Energy from the Magma Resource. Edison shall have full access to all operating data and input regarding operation of the Project and the Geothermal Facilities. Except as otherwise legally required, Edison shall not disclose such information to others without first obtaining written permission from Seller.

Design and Construction of Project. A. The Grantee shall obtain from the Department advance written approval of the following:
1. All bid documents prior to advertisement including plans and specifications,
2. All contracts prior to award,
3. All change orders of $5,000 or more, for any work performed under this Agreement, and
4. All changes to Project schedule discussed in Subpart D of this Article, of thirty (30) days or more.
B. All architectural and engineering contracts for plans and specifications shall require that the plans and specifications:
1. Be prepared by persons licensed by the State of California to undertake the type of design work required by the Project (engineer's/architect's certificate number to appear on construction contract design documents),
2. Be prepared in conformance with the most recent version of the Department of Boating and Waterways’ Layout, Design and Construction Handbook for Small Craft Boat Launching Facilities,
3. Be submitted to the Department and Grantee in 11” X 17” hardcopy and on CD or DVD in full sized and 11” X 17” PDF format. Specifications shall also be submitted in hardcopy and in PDF format,
4. Become the property of the Grantee,
5. Provide for all Project facilities set forth in Exhibit B, and
6. Provide for shore side facilities for removing waste from vessel holding tanks in accordance with the Harbors and Navigation Code section 654.1.
C. All construction contracts for the Project shall:
1. Be awarded in accordance with all applicable laws and regulations,
2. Contain the following clause: “The Department of Parks and Recreation, Division of Boating and Waterways and its agents may, at any and all reasonable times during the term of this Agreement, enter the Project Area for purposes of inspecting the Project Area.”
3. Contain a clause stating that the Contractor and its subcontractors shall not unlawfully discriminate, harass, or allow harassment against any employee who is employed in the work covered by such contracts or against any applicant for such employment because of sex, sexual orientation, race, color, ancestry, religious creed, national origin, physical disability (including HIV and AIDS), mental disability, medical condition (cancer), age, marital status, and denial of family care leave, and that such provisions shall include, but not be limited to: employment, upgrading, promotion or transfer, recruitment, or recruitment advertising, layoff or termination, rates of pay or other forms of compensation, and selection for traini...
Design and Construction of Project. Design and construct the Power Plant so that it is capable of operation, at the design levels specified in the Statement of Work, in compliance with Industry Standards, Applicable Laws, Permit Requirements and the Performance Guarantees, and, to the extent described in the Owner Provided Data, consistent with requirements for interconnection to the Owner Provided Work at the Interface Points and to the Interconnection Utility’s transmission grid. Contractor shall provide all engineering and design services necessary to set forth in detail the specifications, drawings and requirements for the procurement of Equipment and Materials and for the construction of the entire Power Plant in a manner which satisfies the requirements of this Contract. All of such procurement specifications shall call for new (as opposed to used or refurbished) Equipment and Materials.

Design, engineer and construct the Project so that it meets the requirements of the then current approved drawings and specifications, and is capable of operation, at the design levels specified in the Scope Book and in compliance with Industry Standards, Applicable Laws, Permit Requirements and Applicable Permits; provided, notwithstanding anything to the contrary contained herein, that Contractor’s obligation with respect to Applicable Laws, Permit Requirements or Applicable Permits governing emissions from the Project is limited to compliance with the Emissions Guarantees. Contractor shall provide all necessary engineering and design services necessary to set forth in detail the specifications, drawings and requirements for the procurement of Equipment and Materials and for the construction of the Project in a manner which satisfies the requirements of this Agreement. Contractor shall preserve any permanent survey construction monuments and benchmarks located on the Project Site during its performance of the Work.
