Common use of Designated Authority Applicable Laws Clause in Contracts

Designated Authority Applicable Laws. a. In accordance with the Treaty Legislation, notwithstanding: i. any negligence of any of the members of Contractor Group or their respective officers, directors, or personnel; ii. defects in or unfitness of any equipment, building, or structure; iii. the place where any loss, damage, destruction, or injury occurs; or iv. the negligence of the Designated Authority or any member of Company Group or its officers, directors, or personnel; Contractor must protect and Indemnify the Designated Authority from and against any and all Claims arising out of: v. injury to or illness or death of officers, directors, personnel, or invitees of any of the members of Contractor Group; or vi. loss or destruction of property owned or hired by, or equipment or materials and supplies of, any of the members of Contractor Group or their respective officers, directors, personnel, or invitees; when such injury, illness, death, loss, or destruction is occasioned by, incidental to, or arises out of or in conjunction with the Services. b. Contractor must comply, and must ensure that each member of Contractor Group and its officers, directors, personnel, and invitees comply, with the requirements of the Treaty Legislation, and the requirements of the Designated Authority; and Contractor must not commit, and must ensure that each member of Contractor Group and its officers, directors, personnel, and invitees do not commit, any act or omission that would cause any member of Company Group to be in breach of the Treaty Legislation, or the requirements of the Designated Authority. c. All insurance policies required under the Contract must be endorsed to show the Designated Authority as an additional insured and all insurance policies obtained by Contractor Group must contain a waiver of subrogation in favor of the Designated Authority.
