Determinations Made in Good Faith Sample Clauses

The "Determinations Made in Good Faith" clause requires that any decisions, judgments, or assessments made under the contract are done honestly, fairly, and without intent to deceive or act in self-interest. In practice, this means that when a party is given discretion to make a determination—such as evaluating performance, approving deliverables, or interpreting ambiguous terms—they must do so with integrity and reasonable consideration of the facts. This clause serves to prevent abuse of discretionary powers and ensures that all parties act transparently and equitably, thereby reducing the risk of arbitrary or biased decisions.
Determinations Made in Good Faith. All determinations hereunder made by any party hereto shall be made in good faith.
