The Device Service clause defines the terms under which a device-related service is provided, maintained, or supported by one party to another. Typically, this clause outlines the scope of services, such as installation, repair, updates, or technical support for hardware or software devices. The core function of this clause is to set clear expectations and responsibilities regarding device servicing, thereby minimizing disputes and ensuring reliable support for the devices covered under the agreement.
Device Service. Novadaq’s obligations to service the Products shall be in accordance with the following: (a) Novadaq shall be responsible for providing Services to or on behalf of KCI MR. (b) Novadaq represents and warrants to KCI MR that the Services shall be performed in a timely, professional, and workmanlike manner consistent with the highest industry standards and in accordance with Exhibit C. (c) Novadaq shall maintain a customer support center to receive and log Customers’ calls regarding defective or malfunctioning Products in accordance with the standards set forth in Exhibit C. (d) Novadaq shall be responsible for coordinating with Customers, through KCI MR’s designated representative, the repair or replacement of defective Devices. Novadaq or its designated services representative shall perform repairs on behalf of KCI MR as appropriate or ship a replacement Device to Customer, and in the case of replacement, Novadaq shall be responsible for retrieving the defective Device from the Customer and installing the replacement Device at Customer’s facility. Such repair or replacement shall be in accordance with the standards set forth in Exhibit C, at Novadaq’s cost and expense. In the event that Novadaq or their designated service representative fails to repair or replace a defective Device for any Customer within the time period specified in Exhibit C, then KCI MR may, directly or indirectly through a third party service representative, repair or replace the Device and invoice Novadaq for the cost thereof and all reasonable expenses related thereto.

(c) Novadaq shall maintain a customer support center to receive and log Customers’ calls regarding defective or malfunctioning Products in accordance with the standards set forth in Exhibit C. (d) Novadaq shall be responsible for coordinating with Customers, through LifeCell’s designated representative, the repair or replacement of defective Devices. Novadaq or its designated services representative shall perform repairs on behalf of LifeCell as appropriate or ship a replacement Device to Customer, and in the case of replacement, Novadaq shall be responsible for retrieving the defective Device from the Customer and installing the replacement Device at Customer’s facility. Such repair or replacement shall be in accordance with the standards set forth in Exhibit C, at Novadaq’s cost and expense. In the event that Novadaq or their designated service representative fails to repair or replace a defective Device for any Customer within the time period specified in Exhibit C, then LifeCell may, directly or indirectly through a third party service representative, repair or replace the Device and invoice Novadaq for the cost thereof and all reasonable expenses related thereto.
Device Service. Novadaq shall be responsible for coordinating with Customers, through Distributor’s designated representative, the repair or replacement of defective Product.

  • CLOUD SERVICE The Cloud Service offering, is described below and is specified in an Order Document for the selected entitled offerings. The Order Document will consist of the Quotation that is provided and the Proof of Entitlement (▇▇▇) you will receive confirming the start date and term of the Cloud Services and when invoicing will commence.

  • Food Service If the Charter School offers food services on its own or through a third-party contract, the Charter School may apply directly to, and if approved, operate school nutrition programs with reimbursement from the United States Department of Agriculture, under supervision of the Tennessee Department of Education.

  • Internet Service In the event that internet is required during your stay, please verify that the Property selected provides the service. Rules of the House: In the event there are rules specific to your Property either required by the Owner or if applicable from an HOA, they will be posted at the home and your compliance is necessary. Rental Unit for Sale: Occasionally a Property may go on the market for sale. In such cases Agent reserves the right to show the Property to potential buyers. Agent will make every effort to schedule the showing at a time that is convenient for Tenant, so as not to interrupt your vacation. Tenant’s cooperation is appreciated. Consumable Products: Paper products, laundry/dish detergent, personal toiletry items and food staples are not included in the Properties. Linens: Linens are included with all Properties for reservations up to 2 days or more. If linens and towels are damaged or missing there will be an added fee to replace and/or clean those items. Linens and towels should only be used for sleeping in and drying off. Damaged or missing bath towels are $25, hand towels are $15, wash cloths are $10, sheets are $30, pillow cases are $15, and bath mats are $20. Damaged items might include makeup, blood stains, excessive dirt, tanning lotion, and human waste.

  • Verizon Retail Telecommunications Service Any Telecommunications Service that Verizon provides at retail to subscribers that are not Telecommunications Carriers. The term “Verizon Retail Telecommunications Service” does not include any Exchange Access service (as defined in Section 3(16) of the Act, 47 U.S.C. § 153(16)) provided by Verizon.

  • Device Data We may share certain personal information and device-identifying technical data about you and your devices with third party service providers, who will compare and add device data and fraud data from and about you to a database of similar device and fraud information in order to provide fraud management and prevention services, which include but are not limited to identifying and blocking access to the applicable service or Web site by devices associated with fraudulent or abusive activity. Such information may be used by us and our third party service providers to provide similar fraud management and prevention services for services or Web sites not provided by us. We will not share with service providers any information that personally identifies the user of the applicable device.
