DISCLAIMERS AND LIMITATIONS OF REMEDIES. Seller warrants that the Goods will conform to the descriptions of the Goods and quantity (subject to variations acceptable under applicable trade standards) thereof on Seller’s invoice (and its Quotation, with amendments, if any), and that Seller has good title to the Goods which is thereby transferred. However, it is understood by Buyer and Seller that (i) NO DESCRIPTION IS A WARRANTY OF PERFORMANCE OR A WARRANTY OF FITNESS FOR PARTICULAR PURPOSE; and (ii) all descriptions are subject to variations and tolerances within industry standards (as arising by both publication and usage of trade.) Seller assigns to Buyer any and all warranties which are made by the manufacturers and suppliers of the Goods and which are assignable, but Seller makes NO REPRESENTATIONS as to the effectiveness or extent of such warranties and assumes NO RESPONSIBILITY for any matters which may be warranted by such manufacturers or suppliers. In no event will Seller’s liability to Buyer exceed the paid purchase price of the Goods AND SELLER MAKES NO WRITTEN OR OTHER WARRANTY whatsoever. DISCLAIMERS AND LIMITATIONS OF REMEDIES. In the event that the parties are unable to resolve differences, and after exhausting the terms and conditions of the Non-Performance Escalation Procedures clause, that may arise relating to this Agreement, all disputes arising from this Agreement shall be resolved through Deschutes County Circuit Court, unless both parties agree to binding arbitration, which shall take place in the City of Bend, Oregon. If arbitration is agreed to, the arbitration shall be governed by the most recently published Rules of the Arbitration Service of Portland. Both parties agree to submit disputes to a single arbitrator acceptable to both parties. The arbitrator will be selected from a list compiled by the parties’ legal counsels. Every person named on the list of potential arbitrators must be a neutral and impartial lawyer who has at least ten years specializing in the field of general commercial litigation and is knowledgeable about software. The arbitrator shall base its award on applicable law and judicial precedent and unless both parties agree, otherwise shall include in such award the finding of fact and conclusions of law upon which the award is based. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.
