It has delivered to GENOVOAGT, subject to the terms of a confidentiality agreement, full and complete copies of the following documents, and any amendments thereto or replacements thereof, with certain terms redacted: [*] (collectively, the "AGT Prior Documents") and that AGT GENOVO has the right to deliver complete copiescopies of the Prior Documents, with such terms redacted, to third parties, pursuant to confidentiality agreements, in connection with any prospective Partnering Project. GENOVO is in compliance with all material terms of the Prior Documents and is not in default thereunder.
