Documentation Fees. All of the foregoing shall be evidenced by and subject to the terms of the documents described in Section 5.1

Documentation Fees. Upon acceptance of this Proposal Multivista will work diligently to pursue its work until the completion of this project, consistent with the above referenced Scope of Services. Your acceptance of this Proposal constitutes your authorization and direction to Multivista to proceed with this project. Multivista reserves the right to revoke or modify this Proposal at any time before its acceptance.

Documentation Fees. The following Documentation Fee is inclusive of all the services set forth in Section 1 above: Monthly Invoice: $ 600.00 x 18 months Set-Up: $ 4,685.00 (Set up fee is due on or prior to commencement. Set-Up is for services rendered prior to any field work beginning. Set up includes building and hosting the project website, cleaning up and loading CAD files on website, setting up shoot path on software and kick off meetings)

Documentation Fees. The Borrowers agree to cooperate fully with Lender and perform all additional acts reasonably requested by Lender to effect the purposes of this Article III. Without limiting the foregoing, the Borrowers shall execute and deliver and cause to be executed and delivered such further agreements, documents and instruments and shall take and cause to be taken such further actions in connection with any of the Collateral (including the cash Collateral) and the perfection and priority of Lender’s Lien thereon as Lender may reasonably request. The Borrowers shall reimburse Lender, immediately upon demand, for all costs and expenses incurred by Lender in connection with any of the foregoing security, including without limitation filing and recording fees.

Documentation Fees. Borrower shall pay to Bank at closing a loan documentation fee of $2,500.00, plus all attorney fees and costs incurred by Bank for the negotiation and preparation of this Agreement, the Note, Mortgage and all other related loan documents, including recording fees and title insurance premiums. Borrower agrees that all loan fees and other prepaid charges are earned fully as of the date of this agreement and will not be subject to refund, except as required by law.

Documentation Fees. Borrower agrees to pay IBM Credit on or prior to January 10, 1997, a documentation Fee in an amount equal to Twenty Five Thousand Dollars ($25,000.00). In addition, Borrower hereby agrees to pay to IBM Credit, promptly upon demand therefor, all costs and expenses (including, without limitation, reasonable fees and disbursements of out-side counsel) incurred by IBM Credit in connection with the preparation, negotiation, execution, delivery, and enforcement of this Amendment, the Pledge Agreements and any other agreement, document or instrument executed in connection herewith or therewith, the actions and transactions provided for herein and therein or contemplated hereby or thereby.

Documentation Fees. (a) Subject to paragraph (b) below and to the other terms of this letter, the Company will pay (or will cause to be paid) to (and for the account of) the Mandated Lead Arrangers, the following fees: (i) in respect of each Mandated Lead Arranger with a Commitment in respect of Facility B1 as at the earlier to occur of the (1) Closing Date and (2) the Business Day immediately preceding (A) the Scheme Effective Date or (B) the Offer Unconditional Date (as applicable) (the "Calculation Date"), a documentation fee (the "Facility B1 Documentation Fee"), in USD, in an amount equal to 0.50 per cent. of the aggregate principal amount of the Commitments of all such Mandated Lead Arrangers under Facility B1 as at the Calculation Date, payable on the earlier of (i) the Closing Date and (ii) the date falling 60 Business Days after the Scheme Effective Date or the Offer Unconditional Date (as applicable) (such date, the "Payment Date"), (in each case, with such fees to be shared amongst the relevant Mandated Lead Arrangers on a pro rata basis by reference to their respective Commitments under Facility B1 on the Calculation Date); (ii) in respect of each Mandated Lead Arranger with a Commitment in respect of Facility B2 as at the Calculation Date, a documentation fee (the "Facility B2 Documentation Fee" and, together with the Facility B1 Documentation Fee, the "Term Facility Documentation A52606334 (iii) in respect of each Mandated Lead Arranger with a Commitment in respect of the Revolving Facility as at the Calculation Date, a documentation fee (the "Revolving Facility Documentation Fee" and, together with the Term Facility Documentation Fees, the "Documentation Fees"), in USD, in an amount equal to 0.50 per cent. of the aggregate principal amount of the Commitments of such Mandated Lead Arrangers under the Revolving Facility on the Calculation Date, payable on the Payment Date, (in each case, with such fees to be shared amongst the relevant Mandated Lead Arrangers on a pro rata basis by reference to their respective Commitments under the Revolving Facility as at the Calculation Date). (b) No Documentation Fees will be due or payable by the Company pursuant to this Clause 2 unless at least one of (1) the Scheme Effective Date, (2) the Offer Unconditional Date and (3) the Closing Date occurs.

Documentation Fees. For each Note relating to a Loan Limit Advance, on the related Loan Limit Closing Date, the Borrower shall pay to the Bank a documentation fee equal to the amount set forth an invoice prepared by Bank and delivered to Borrower in connection with such Loan Limit Closing Date.
