Duties and Evaluation. (i) The Employee's duties to Videoflicks hereunder shall include, without limitation, acting as Chief Financial Officer (CFO) of Videoflicks with responsibility for financial management of Videoflicks and investor relations. The Employee agrees that he will at all times perform these duties faithfully, industriously and to the best of his skill, ability, experience and talents. The Employee will perform his duties in a manner which is in the best interests of Videoflicks and in accordance with Videoflicks' current and long-term objectives and procedures, as such may be amended from time to time by the Board of Directors of Videoflicks. (ii) Videoflicks acknowledges that it is aware that the Employee has, and may have from time to time, ongoing part-time employment commitments to companies affiliated with Videoflicks and that the Employee shall be at liberty to continue such employment relationships provided that, although the Employee shall not be obligated to devote the whole of his time and attention to the business of Videoflicks, the Employee shall devote such portion of his time to the affairs of Videoflicks as may be required in the discharge of the Employee's duties hereunder on a basis which does not impair the activities and business interests of Videoflicks. (2) The Board of Directors of Videoflicks and the Employee shall establish a performance appraisal process which will establish the criteria against which the Employee will be evaluated. Evaluations of the Employee shall be conducted either semi-annually or annually (as determined by the Videoflicks Board of Directors) and the results of such evaluation shall be communicated in writing or otherwise to the Employee.

  • Duties and Responsibilities of Executive (a) During the Employment Period, Executive shall devote Executive’s full business time and attention to the business of the Company and its Affiliates, as applicable, and will not hold any outside employment or consulting position. Executive agrees that the obligations described in this Agreement are in addition to, and not in lieu of, the obligations Executive owes the Company and its Affiliates under common law. The Parties acknowledge and agree that Executive may provide services (including as an executive, employee, director, or otherwise) to multiple Affiliates of the Company and, in providing such services, Executive will not be violating Executive’s obligations hereunder so long as Executive abides by the terms of Sections 7, 8, and 9 below in the course of performing such services.

  • Duties and Status The Company hereby engages Executive as its President and CEO on the terms and conditions set forth in this Agreement including the terms and conditions of the Employee Proprietary Information, Inventions, and Non-Competition Agreement attached hereto as Exhibit A and incorporated herein (the “Non-Disclosure Agreement”). Executive agrees to devote the Executive’s entire business time, attention and energies to the business and interests of the Company during the Employment Period. Notwithstanding the foregoing, no provision of this Indenture shall require the Trustee to expend or risk its own funds or otherwise incur any financial liability in the performance of any of its duties hereunder, or in the exercise of any of its rights or powers, if it shall have reasonable grounds for believing that repayment of such funds or adequate indemnity against such risk or liability is not reasonably assured to it. Whether or not therein expressly so provided, every provision of this Indenture relating to the conduct or affecting the liability of or affording protection to the Trustee shall be subject to the provisions of this Section.
