Common use of Duties and Reporting Relationship Clause in Contracts

Duties and Reporting Relationship. (a) The Executive shall continue his employment as the President and Chief Content Officer of both the Company and Sirius XM Holdings Inc. (“Holdings”). In such capacity, the Executive shall be responsible for management of all aspects of the Company’s and Holdings’ programming functions and all personnel working in such areas shall report to the Executive. During the Term (as defined below), the Executive shall, on a full-time basis and consistent with the needs of the Company and Holdings, use his skills and render services to the best of his ability. The Executive shall perform such activities and duties consistent with his position that the Chief Executive Officer of the Company and Holdings (the “CEOs”) shall from time to time reasonably specify and direct. During the Term, the Executive shall not perform any consulting services for, or engage in any other business enterprises with, any third parties without the express written consent of the CEOs or the General Counsel of the Company, other than passive investments. (b) The Executive shall generally perform his duties and conduct his business at the principal offices of the Company in New York, New York. (c) Unless otherwise required by law, administrative regulation or the listing standards of the exchange on which Holdings’ shares are primarily traded, the Executive shall report solely and directly to the CEOs.

In such capacity, the Executive shall be responsible for management of all aspects of the Company’s 's programming and Holdings’ programming corporate marketing functions and all personnel working in such areas shall report to the Executive. During the Term (as defined below), the Executive shall, on a full-time basis and consistent with the needs of the Company and Holdingsto achieve the goals of the Company, use his skills and render services to the best of his abilityability in supervising the business and affairs of the Company. The In addition, the Executive shall perform such other activities and duties consistent with his position that as the Chief Executive Officer of the Company and Holdings or the Board of Directors of the Company or any committee thereof (the “CEOs”"Board") shall from time to time reasonably specify and direct. During the Term, the Executive shall not perform any consulting services for, or engage in any other business enterprises with, any third parties without the express written consent of the CEOs or the General Counsel of the CompanyBoard, other than passive investmentsinvestments and consulting services and business enterprises for which the Executive receives no remuneration. During the Term (as defined below), the Executive shall, on a full-time basis and consistent with the needs of the Company and Holdings, use his skills and render services to the best of his ability. The Executive shall perform such activities and duties consistent with his position that as the Chief Executive Officer of the Company and Holdings (the “CEOs”) shall from time to time reasonably specify and direct.
