Duties of Servicer Generally. The Servicer’s duties in general shall include management, servicing and administration of the Recovery Property; obtaining meter reads, calculating electric usage, billing, collections and posting of all payments in respect of the Recovery Property; responding to inquiries by Consumers, the CPUC, or any federal, local or other state governmental authorities with respect to the Recovery Property; delivering Bills to Consumers and ESPs, processing and depositing collections and making periodic remittances pursuant to the Financing Order and each Tariff; furnishing periodic reports to the Issuer, the Indenture Trustee and the Rating Agencies; and taking action in connection with True-Up Adjustments as set forth herein. Certain of the duties set forth above may be performed by ESPs pursuant to ESP Service Agreements if such ESPs satisfy the creditworthiness requirements as set forth in PG&E’s Electric Rule 22.P., “Credit Requirements.” Anything to the contrary notwithstanding, the duties of the Servicer set forth in this Servicing Agreement shall be qualified in their entirety by any CPUC Regulations, the Financing Order and the U.S. federal securities laws and the rules and regulations promulgated thereunder, including Regulation AB, as in effect at the time such duties are to be performed. Without limiting the generality of this Section 3.01(a), in furtherance of the foregoing, the Servicer hereby agrees that it shall also have, and shall comply with, the duties and responsibilities relating to data acquisition, usage and ▇▇▇▇ calculation, billing, customer service functions, collections, payment processing and remittance set forth in Annex I hereto, as it may be amended from time to time. For the avoidance of doubt, the term “usage” when used herein includes references to both kilowatt hour consumption and kilowatt demand.
Duties of Servicer Generally. The Servicer shall manage, service, administer, and make collections and remittances in respect of the System Restoration Property. The Servicer’s duties in general shall include:
(i) calculating the System Restoration Charges and billing the REPs for the System Restoration Charges;
(ii) obtaining meter reads and providing such metering information to the REPs, as necessary (unless another entity assumes metering responsibilities in accordance with the Financing Order, PUCT Regulations, applicable tariffs or the Public Utility Regulatory Act);
(iii) collecting payments of System Restoration Charges and payments with respect to System Restoration Property from all persons or entities responsible for remitting System Restoration Charges and other payments with respect to System Restoration Property to the Servicer under the Financing Order, the Securitization Act, PUCT Regulations or applicable tariffs; provided, however, the Issuer and the Servicer acknowledge and agree that pursuant to any future intercreditor agreement, payments in respect of System Restoration Charges and System Restoration Property may be deposited initially into an account held and processed by CEHE in its capacity as the “Utility” (as such term may be defined and set forth more fully in any such intercreditor agreement) for the benefit of the Servicer, and that CEHE in its individual capacity may be replaced as the holder of such account by a “Successor Servicer” or “Designated Account Holder” as those terms may be defined and set forth more fully in any such intercreditor agreement;
(iv) posting all SRC Collections remitted to the Servicer and posting all late-payment penalties assessed against REPs (as described in Section 3.05(c)(ii));
(v) responding to inquiries by Customers, REPs, the Texas Commission or any other Governmental Authority with respect to the System Restoration Property and the System Restoration Charges;
(vi) accounting for SRC Collections and late-payment penalties received from REPs, investigating and resolving delinquencies (including, where permitted by the Financing Order, Schedule SRC and/or PUCT Regulations, terminating distribution service for nonpayment of charges by end-use customers), processing and depositing collections, making periodic remittances to the Trustee and furnishing periodic and current reports to the Issuer, the Trustee and each Rating Agency;

Duties of Servicer Generally. The Servicer shall manage, service, administer and make collections in respect of the Storm Recovery Property. The Servicer’s duties will include:
(i) calculating and billing the Storm Recovery Charges;
(ii) obtaining meter reads;
(iii) accounting for Storm Recovery Charges;
(iv) investigating and resolving delinquencies (and furnishing required reports with respect to such delinquencies to the Issuer);
(v) processing and depositing collections and making periodic remittances;
(vi) furnishing required periodic reports to the Issuer, the Indenture Trustee, the LPSC and the Rating Agencies;
(vii) monitoring Customer payments of Storm Recovery Charges;
(viii) notifying each Customer of any defaults in its payment obligations and other obligations (including its credit standards), and following such collection procedures as it follows with respect to comparable assets that it services for itself or others;
(ix) collecting payments of Storm Recovery Charges and payments with respect to Storm Recovery Property from all persons or entities responsible for paying Storm Recovery Charges and other payments with respect to Storm Recovery Property to the Servicer under the Financing Order, the Securitization Act, LPSC Regulations or applicable tariffs and remitting these collections to the Indenture Trustee;
(x) responding to inquiries by Customers, the LPSC or any other Governmental Authority with respect to the Storm Recovery Property and the Storm Recovery Charges;
(xi) making all required filings with the LPSC and taking such other action as may be necessary to perfect the Issuer’s ownership interests in, and the Indenture Trustee’s first priority Lien on, the Storm Recovery Property; making all filings and taking such other action as may be necessary to perfect and maintain the perfection and priority of the Indenture Trustee’s Lien on the other portions of the Trust Estate under the Indenture;
(xii) selling, as the agent for the Issuer, as its interest may appear, defaulted or written-off accounts in accordance with the Servicer’s usual and customary practices;
(xiii) taking action in connection with Storm Recovery Charge Adjustments and allocation of the charges among various classes of Customers as is set forth herein and pursuant to the Financing Order; and

(i) obtaining meter reads, calculating electricity usage and billing the Charge in accordance with the Financing Order and collecting (from Customers and Third Parties, as applicable) all Charge Collections;
(ii) responding to inquiries by Customers, Third Parties, the Authority, or any federal, local or other State governmental authority with respect to the Charge;
(iii) delivering bills to customers and Third Parties, accounting for Charge Collections, investigating and resolving delinquencies, processing and depositing collections, making periodic remittances and furnishing periodic reports to the Bond Issuer, the Authority, the Bond Trustee and the Rating Agencies;
(iv) selling, as the agent for the Bond Issuer, as its interest may appear, defaulted or written off accounts in accordance with the Servicer’s usual and customary practices for accounts of Customers for T&D Rates;
(v) taking action in connection with True-Up Adjustments as is set forth herein. Anything to the contrary notwithstanding, the duties of the Servicer set forth in this Agreement shall be qualified in their entirety by the Statute, the Financing Order and any Authority Regulations, as in effect at the time such duties are to be performed. Without limiting the generality of this Section 3.01(a), in furtherance of the foregoing, the Servicer hereby agrees that it shall also have, and shall comply with, the duties and responsibilities set forth in Annex 1 which, among other things, relate to data acquisition, usage and ▇▇▇▇ calculation, billing, customer service functions, collections, payment processing and remittance.

(i) calculating and billing the Intangible Transition Charges and collecting (from Customers and Third Parties, as applicable) and posting all ITC Collections;
(ii) responding to inquiries by Customers, Third Parties, the PUC, or any federal, local or other state governmental authority with respect to the Transferred Intangible Transition Property and the Intangible Transition Charges;
(iii) accounting for ITC Collections, investigating delinquencies, processing and depositing collections, making periodic remittances and furnishing periodic reports to the Issuer, the Trustee and the Rating Agencies;
(iv) selling, as the agent for the Issuer, as its interest may appear, defaulted or written off accounts in accordance with the Servicer's usual and customary practices; and
(v) taking action in connection with Intangible Transition Charge Adjustments as is set forth herein. Anything to the contrary notwithstanding, the duties of the Servicer set forth in this Agreement shall be qualified in their entirety by the Pennsylvania Public Utility Code and any PUC Regulations, orders or directions as in effect at the time such duties are to be performed. Without limiting the generality of this Section 3.01(a), in furtherance of the foregoing, the Servicer hereby agrees that it shall also have, and shall comply with, the duties and responsibilities relating to data acquisition, usage and ▇▇▇▇ calculation, billing, customer service functions, collections, payment processing and remittance set forth in Exhibit A hereto.
Duties of Servicer Generally. The Servicer’s duties in general shall include:
(i) management, servicing and administration of, including billing, collecting and posting all collections in respect of the Rider OSW Charge;
(ii) calculating usage;
(iii) investigating and handling delinquencies (and furnishing readily available reports with respect to such delinquencies to the Project Company);
(iv) processing and depositing collections and making periodic remittances;
(v) furnishing periodic and current reports readily available to the Project Company, as applicable;
(vi) making all filings with the Commission and taking such other action as may be necessary in connection with the Rider OSW Charges, including using commercially reasonable best efforts to cause any defaulted, written off, or otherwise uncollectible Rider OSW Charges to be approved for cost recovery by the Commission under the Rider OSW Order; and
(vii) performing such other duties as may be specified under a Rider OSW Order to be performed by it. Anything to the contrary notwithstanding, the duties of the Servicer set forth in this Servicing Agreement shall be qualified in their entirety by any Commission Regulations, Rider OSW Order and any other applicable Requirement of Law, as in effect at the time such duties are to be performed. Without limiting the generality of this Section 3.01(a)(i), in furtherance of the foregoing, the Servicer hereby agrees that it shall also have the duties and responsibilities set forth in Exhibit A.

The Servicer's duties will include (i) calculating and billing the Intangible Transition Charges and collecting (from Customers and Third Parties, as applicable) and posting all ITC Collections; (ii) responding to inquiries by Customers, Third Parties, the PUC, or any Federal, local or other state governmental authorities with respect to the Serviced Intangible Transition Property and Intangible Transition Charges; (iii) accounting for ITC Collections, investigating delinquencies, processing and depositing collections and making periodic remittances, furnishing periodic reports to the Issuer, the Bond Trustee and the Rating Agencies; (iv) selling defaulted or written off accounts in accordance with the Servicer's usual and customary practices; and (v) taking action in connection with Intangible Transition Charge Adjustments as set forth herein. Anything to the contrary notwithstanding, the duties of the Servicer set forth in this Agreement shall be qualified in their entirety by any PUC Regulations as in effect at the time such duties are to be performed. Without limiting the generality of this Section 3.01(a), in furtherance of the foregoing, the Servicer hereby agrees that it shall also have, and shall comply with, the duties and responsibilities 224 relating to data acquisition, usage and bill calculation, billing, customer service functions, ▇▇▇lections, payment processing and remittance set forth in Exhibit A hereto.
