Easement Support. Based on the preferred alternative selected by the City, PACE will determine if any permanent drainage or temporary construction easements are required. Based on this determination the PACE survey team will prepare the required legal descriptions and exhibit maps necessary to secure and record any required easements. If deemed necessary, title reports will be reviewed, and underlying legal descriptions examined for accuracy. Legal descriptions and exhibit maps will be prepared for up five(5) parcels to accompany Temporary Construction Easements (TCEs). Any additional TCEs that are required will be billed on a time-and-expense basis and be subject to section 1.1.3, Change Management, of this scope. • Title reports to be provided by the CITY (if deemed necessary). • One (1) round of CITY review and comment, if any, to be incorporated in final documents. • Right-of-Way staking is not anticipated. • ▇▇▇▇ will coordinate with the property owners to have easements signed and recorded. • Up to five (5) sealed and signed TCE descriptions and exhibit maps.

  • STUDENT SUPPORT SERVICES The Parties will identify and collaborate on measures to assist those students who may not be performing satisfactorily to succeed. The School will seek guidance from the College designee(s) in the areas of test preparation, tutoring, College Connection services, academic advising, and the development of an integrated support system for Students across the two institutions. Students will have access to the same or similar tutoring and other academic support as provided for other students in the School District, School and College. To promote academic success, the Parties will provide academic support services as may be needed. The School counselor and its designee will work to ensure Students receive pertinent information regarding higher education, financial assistance, and assistance waivers for tuition and fees. As needed, each Party will assist families as they complete initial application and admission requirements per the respective organizations’ processes. The School District will be responsible for non-academic counseling services and the College is authorized, but not required, to provide emergency counseling intervention services. See section 4 – Disability Support Services.

  • Intellectual Property Assignment The Assignor assigns to the Company, its successors and assigns, for good and sufficient consideration in connection with execution of the Operating Agreement dated DATE , the entire right, title and interest in Intellectual Property and the associated rights and causes of action (as defined below) relating to the Company. Assignor’s continuing membership in the Company is also conditioned on the assignment to the Company of Assignor’s rights in respect of any Intellectual Property created by Assignor during his/her term of membership in the Company.

  • Consent of Inbound Licensors Prior to entering into or becoming bound by any material inbound license or agreement, Borrower shall: (i) provide written notice to Bank of the material terms of such license or agreement with a description of its likely impact on Borrower’s business or financial condition; and (ii) in good faith use commercially reasonable efforts to obtain the consent of, or waiver by, any person whose consent or waiver is necessary for Borrower’s interest in such licenses or contract rights to be deemed Collateral and for Bank to have a security interest in it that might otherwise be restricted by the terms of the applicable license or agreement, whether now existing or entered into in the future, provided, however, that the failure to obtain any such consent or waiver shall not constitute a default under this Agreement.
