Common use of Effect of Transaction Clause in Contracts

Effect of Transaction. Except as set forth in Section 2.12(h) of the Company Disclosure Schedule, the execution of this Agreement and the consummation of the transactions contemplated hereby will not (either alone or upon the occurrence of any additional or subsequent events) constitute an event under any Company Benefit Plan or Company Employee Agreement that will or may result in any material payment (whether of severance pay or otherwise), acceleration of any material payment, forgiveness of material indebtedness, vesting, distribution, material increase in benefits or obligation to fund benefits with respect to any Company Employee.

Effect of Transaction. Except as set forth in on Section 2.12(h4.22(j) of the Company Disclosure ScheduleLetter, the execution of this Agreement and the consummation of the transactions contemplated hereby will not (either alone or upon the occurrence of any additional or subsequent events) constitute an event under any Company Benefit Plan Employee Plan, Employee Agreement, trust or Company Employee Agreement loan that will or may result in any material payment (whether of severance pay or otherwise), acceleration of any material paymentacceleration, forgiveness of material indebtedness, vesting, distribution, material increase in benefits or obligation to fund benefits with respect to any Company Employee.

Effect of Transaction. (i) Except as set forth in on Section 2.12(h5.18(e) of the Company Seller Disclosure Schedule, the execution of this Agreement and the consummation of the transactions contemplated hereby will not (either alone or upon the occurrence of any additional or subsequent events) constitute an event under any Company Benefit Employee Plan or Company Employee Employment Agreement that will or may would reasonably result in any material payment (whether of severance pay or otherwise), acceleration of any material paymentacceleration, forgiveness of material indebtedness, vesting, distribution, material increase in benefits or obligation to fund benefits with respect to any Company Employee.

Effect of Transaction. Except as set forth in Section 2.12(hon Schedule 3.17(b) of the Company Disclosure Schedule, the execution of this Agreement and the consummation of the transactions contemplated hereby will not (either alone or upon the occurrence of any additional or subsequent events) constitute an event under any Company Benefit Plan Employee Plan, Company Employment Agreement, trust or Company Employee Agreement loan that will or may result in any material payment (whether of severance pay or otherwise), acceleration of any material paymentacceleration, forgiveness of material indebtedness, vesting, distribution, material increase in benefits or obligation to fund benefits with respect to any Company Employee.

Except as set forth in on Section 2.12(h3.22(k) of the Company Disclosure ScheduleLetter, the execution of this Agreement and the consummation of the transactions contemplated hereby will not (either alone or upon the occurrence of any additional or subsequent events) constitute an event under any Company Benefit Plan Employee Plan, Employee Agreement, trust or Company Employee Agreement loan that will or may result in any material payment (whether of severance pay or otherwise), acceleration of any material paymentacceleration, forgiveness of material indebtedness, vesting, distribution, material increase in benefits or obligation to fund benefits with respect to any Company Employee.

Except To the knowledge of the Company, except as set forth in Section 2.12(hon Part 3.3(a) of the Company Disclosure ScheduleSchedules, the execution of this Agreement and the consummation of the transactions contemplated hereby will not (either alone or upon the occurrence of any additional or subsequent events) constitute an event under any Company Benefit Employee Plan or Company Employee Agreement that will or may result in any material payment (whether of severance pay or otherwise), acceleration of any material paymentacceleration, forgiveness of material indebtedness, vesting, distribution, material increase in benefits or obligation to fund benefits with respect to any Company Employee.

Effect of Transaction. Except as set forth in Section 2.12(h2.20(g) of the Company Disclosure ScheduleLetter, the execution of this Agreement and the consummation of the transactions contemplated hereby will not (either alone or upon the occurrence of any additional or subsequent events) constitute an event under any Company Benefit Plan Employee Plan, Employee Agreement, trust or Company Employee Agreement loan that will or may result in any material payment (whether of severance pay or otherwise), acceleration of any material paymentacceleration, forgiveness of material indebtedness, vesting, distribution, material increase in benefits or obligation to fund benefits with respect to any Company Employee.

Effect of Transaction. Except as set forth in Section 2.12(hon Schedule 2.20(c) of the Company Disclosure Schedule, the execution of this Agreement and the consummation of the transactions contemplated hereby will not (either alone or upon the occurrence of any additional or subsequent events) constitute an event under any Company Benefit Plan Employee Agreement, trust or Company Employee Agreement loan that will or may result in any material payment (whether of severance pay or otherwise), acceleration of any material paymentacceleration, forgiveness of material indebtedness, vesting, distribution, material increase in benefits or obligation to fund benefits with respect to any Company Employee.

Effect of Transaction.
