Common use of Effective Date and Authority Clause in Contracts

Effective Date and Authority. 4.5.1. The “Effective Date” of this Agreement shall be September 23, 2014. 4.5.2. The Parties and their signators represent that such signators hold the positions set forth below their signatures and that such signators are authorized to execute this Agreement on behalf of and to bind each of the respective Parties hereto. Should SCN fail to insert the date of execution of this Agreement opposite the name of SCN’s signator, SCN hereby authorizes ANAHEIM, by and through its representative, to insert the date of execution by ANAHEIM’s signators, as the date this Agreement, as executed by SCN, is received by ANAHEIM.
