Electronic Access Sample Clauses

Electronic Access. Jeppesen may (in its sole discretion) grant in writing to Seller a limited, nontransferable, nonexclusive, revocable (in Jeppesen’s sole discretion) right for Seller personnel to access electronic information systems operated by or on behalf of Jeppesen, including, but not limited to, facilities, network communications systems, telecommunications systems, software, applications, information and data, (collectively, the “Jeppesen Systems”) during the term of this PO to the extent necessary for Seller to perform the services hereunder. Seller personnel will not access or use the Jeppesen Systems for any other purpose. JEPPESEN SYSTEMS ARE PROVIDED ON AN “AS-IS” and “AS AVAILABLE” BASIS, AND SELLER EXPRESSLY AGREES THAT JEPPESEN MAKES NO WARRANTY, EXPRESS OR IMPLIED, AS TO RELIABILITY AND AVAILABLITY OF ANY JEPPESEN SYSTEMS. Jeppesen may elect to provide Jeppesen hardware to Seller for the sole purpose of accessing Jeppesen Systems to perform services hereunder. Seller and Seller personnel are required to obtain express written consent from Jeppesen’s duly authorized representative prior to use of non-Jeppesen assets to access Jeppesen Systems. In addition to any other rights and obligations set forth in any relevant Agreement, Seller acknowledges that any information accessed through the Jeppesen Systems, whether or not marked as “proprietary”, “confidential”, or equivalent, will be considered as proprietary to Jeppesen and will be protected by Seller in accordance with Section 13 (Confidentiality) above. Seller and Seller personnel understand and consent as follows: Seller and Seller personnel have no reasonable expectation of privacy in any communications or data, personal or otherwise, transiting or stored on Jeppesen Systems; any communications or data transiting or stored on Jeppesen Systems may be monitored, intercepted, recorded, and searched at any time and for any lawful purpose, and may be used or disclosed for any lawful purpose. Any security breach of the Jeppesen Systems or other breach of the requirements of this Section will be grounds for default in accordance with Section 7 (Cancellation) above.

Electronic Access. Access by Customer to certain applications or products of Bank via Bank’s web site or otherwise shall be governed by this Agreement and the terms and conditions set forth in Schedule 5.

Electronic Access. (a) To the extent that the performance or receipt of Services or access to Facilities hereunder requires access to a Group’s intranet or other internal systems by the other Group (the “Accessing Group”), the Party whose Group intranet or other internal systems is being accessed shall provide or cause to be provided limited access to such systems, subject to policies, procedures and limitations to be determined by such Party. From and after the Distribution Date, a Party shall cause its Accessing Group to comply with all security guidelines (including physical security, network access, internet security, confidentiality and personal data security guidelines) of the other Party, copies of which shall be made available to the Accessing Group upon reasonable request. (b) While Services and access to Facilities are being provided hereunder, the Parties shall take commercially reasonable measures to ensure that no Virus or similar items are coded or introduced into the Services or Facilities. With respect to Services or access to Facilities provided by third parties, compliance with the applicable agreement with such third party shall be deemed sufficient commercially reasonable measures. If a Virus is found to have been introduced into such Services or Facilities, the Parties hereto shall use commercially reasonable efforts to cooperate and to diligently work together and with each Provider providing the Services or access to Facilities to eliminate the effects of the Virus. (c) The Parties shall, and shall cause their respective Providers to, exercise reasonable care in providing, accessing and using the Services and Facilities to prevent access to the Services and Facilities by unauthorized Persons.

Electronic Access. Access by Customer to certain applications or products of Bank via Bank’s web site or otherwise shall be governed by this Agreement and the terms and conditions set forth in Schedule 3.

Electronic Access. Access by the Customer to certain systems, applications or products of Bank shall be governed by this Agreement and the terms and conditions set forth in Annex A Electronic Access.

Electronic Access a) I am solely responsible for keeping My Account numbers and PINs confidential. “PINs” shall mean My username and password.

Electronic Access. If Customer elects to use the Electronic Access Services in connection with this Agreement, the use thereof will be subject to any terms and conditions contained in a separate written agreement between the Parties or their Affiliates. If an Authorized Person elects, with BNY Mellon’s prior consent, to transmit Instructions through a third-party electronic communications service, BNY Mellon will not be responsible or liable for the reliability or availability of any such service.

Electronic Access. Bank may permit the Customer and its Authorized Persons to access certain electronic systems and applications (collectively, the “Products”) and to access or receive electronically Data (as defined below) in connection with the Agreement. Bank may, from time to time, introduce new features to the Products or otherwise modify or delete existing features of the Products in its sole discretion. Bank shall endeavor to give the Customer reasonable notice of its termination or suspension of access to the Products, including suspension or cancelation of any User Codes, but may do so immediately if Bank determines, in its sole discretion, that providing access to the Products would violate Applicable Law or that the security or integrity of the Products is known or reasonably suspected to be at risk. Access to the Products shall be subject to the Security Procedure.

Electronic Access. If Customer elects to use the Electronic Access Services in connection with this Agreement, the use thereof will be subject to any terms and conditions contained in a separate written agreement between the Parties or their Affiliates. However, if an Authorized Person elects, with BNY’s prior consent, to transmit Instructions through a third-party electronic communications service, BNY will not be responsible or liable for the reliability or availability of any such service.
