Common use of Electronic Documentation Clause in Contracts

Electronic Documentation. This Agreement may be executed in counterparts and signed by the parties manually or electronically. The executed counterpart that has ▇▇▇▇▇▇’s original signature and/or is in ▇▇▇▇▇▇’s possession shall constitute chattel paper as that term is defined in the UCC and shall constitute the original agreement for all purposes. If Lessee transmits this Agreement to Lessor by facsimile or other electronic transmission, the transmitted copy shall be binding upon the parties. Neither party may raise as a defense to the enforcement of this Agreement that it was signed or transmitted electronically.
