Common use of Embedded Vendor Works Clause in Contracts

Embedded Vendor Works. To the extent that any Vendor Works are incorporated into, embedded in or made part of the Work Product, notwithstanding anything to the contrary, Vendor shall not be deemed to have assigned its Intellectual Property Rights in such Vendor Works to the Client, but Vendor hereby grants to the Client, for the benefit of the Client and any third party providers of services to the Client, a perpetual, non-exclusive, worldwide, fully paid, royalty-free license to access, use, modify, copy, adapt, display, perform and create derivative works of, such Vendor Works to the extent necessary for the Client to receive the full benefit of its ownership of the Work Product.
