Emergency Replacements. In the event that either All-Star team uses its last catcher, and that catcher leaves the game due to injury, that team may substitute a catcher who has previously appeared in the game. In addition, prior to the All-Star Game, each manager will notify the umpire crew chief of one player selected pursuant to paragraph 3(c) above who has been designated as eligible to return to the game in the event that the last position player at any position is injured and must leave the game.

Emergency Replacements. Asure may deploy Sub-processors as needed in its sole discretion to serve as Emergency Replacements to maintain and support the SaaS Platform. “Emergency Replacement” refers to a sudden replacement of a Sub-processor where a change is outside of Asure’s reasonable control (e.g., an existing Sub-processor ceases business, abruptly discontinues services to Asure, or breaches its contractual duties owed to Asure). In that case, Asure will inform Customer of the replacement Sub-processor as soon as reasonably possible, and the process to formally appoint, and reject, that Sub-processor under Section 5.2 shall be triggered.

  • Emergency Replacement SAP may replace a Subprocessor without advance notice where the reason for the change is outside of SAP’s reasonable control and prompt replacement is required for security or other urgent reasons. In this case, SAP will inform Customer of the replacement Subprocessor as soon as possible following its appointment. Section 6.3 applies accordingly.

  • Repair and Replacement Company shall be responsible to Lessor for reasonable replacement costs, or reasonable repair costs of all Equipment which is lost, stolen, or damaged while in the care, custody and control of Company as a result of Company's sole negligence in accordance with paragraph 2 above, reasonable wear and tear excepted, using the Actual Cash Value of the Equipment at the time of such loss. Prior to repairing the Equipment, Lessor shall submit to Company at least three estimates, including at least one estimate from a repair facility designated by Company. In the event the Equipment is lost or stolen, Company shall file a police report.

  • Emergency Situations If the condition is an emergency, this will be communicated to the Contractor with the request that corrections are to be accomplished immediately. The Contractor shall respond to the notice in emergency situations within twenty-four hours. If the Contractor fails to respond within this time limit, the Owner may correct the defect and charge the Contractor for the Work. If it is determined the complaint is not the responsibility of the Contractor, the Contractor shall be promptly paid for the cost of the corrective work. The Contractor shall give notice in writing to the Owner when corrections have been completed.
