Ending This Contract. Ending this Contract for convenience 8.1 This Contract can be ended by either party on 30 days notice to the other. 8.2 For Rollover Contracts, the Customer may end this Contract on seven days written notice at any time between the sixth day before the end of a Contract Period and the 28th day after the end of a Contract Period without becoming committed to a further Contract Period or Subsequent Contract Period as set out in paragraph 1.2 above. 8.3 The Customer may end this Contract if: (a) BT materially breaches this Contract and, if the breach is capable of remedy, fails to put right the breach within a reasonable time of being asked by the Customer to do so; or (b) insolvency proceedings are brought against BT or BT makes an arrangement with its creditors or a receiver, an administrative receiver or an administrator is appointed over any of BT’s assets or BT goes into liquidation or a corresponding event under Scottish Law. 8.4 BT may suspend the application of the BT Business Reward Credit and/or BT Business Reward Charges, or end this Contract, or both, at any time without notice if: (a) the Customer breaches this Contract or any other Contract that the Customer has with BT and, if the breach is capable of remedy, fails to put right the breach within a reasonable time of being asked by BT to do so; or (b) bankruptcy or insolvency proceedings are brought against the Customer or the Customer does not make any payment under a judgement of a Court on time or the Customer makes an arrangement with its creditors or a receiver, an administrative receiver or an administrator is appointed over any of the Customer’s assets or the Customer goes into liquidation or a corresponding event under Scottish Law. The Customer will continue to pay the charges during any period of suspension. 8.5 When this Contract ends, the terms and conditions of this Contract will cease to apply to the lines and services within the Inventory and will be superseded by the Standard Contracts. 8.6 The ending of this Contract by the Customer will also constitute termination of this Contract by the Customer on behalf of all relevant Subsidiaries. 8.7 Where the Customer ends this Contract prior to the Spend Measurement Date, the BT Business Reward Credit will not apply.

Cancellation of this Contract does not automatically cancel the Standard Contracts which must be cancelled in accordance with the Standard Contract. 8.1 8.2 This Contract can may be ended by either party on 30 7 days written notice to the other. 8.2 For Rollover Contracts, the Customer may end this Contract on seven days written notice at any time between the sixth day before the end of a Contract Period and the 28th day after the end of a Contract Period without becoming committed to a further Contract Period or Subsequent Contract Period as set out in paragraph 1.2 above. 8.3 The Customer may end this Contract if: (a) BT materially breaches this Contract and, if the breach is capable of remedy, fails to put right the breach within a reasonable time of being asked by the Customer to do so; or (b) BT ceases to do business; or has bankruptcy or insolvency proceedings are brought against BT it; or BT makes an arrangement with its creditors (other than where solely for solvent amalgamation or solvent reconstruction); or a receiver, an administrative receiver or an administrator is appointed over any of BT’s assets its assets; or BT it goes into liquidation liquidation; or a notice is given, a petition is issued, a resolution is passed or any other step is taken to commence any of the foregoing procedures; or there is a corresponding event under Scottish Lawlaw. 8.4 BT may suspend the application of Service, suspend the BT Business Reward Credit and/or BT Business Reward Charges, charges applicable to this Contract (and the Customer will be charged in accordance with the Standard Contract) or end this Contract, or both, at any time without notice if: (a) the Customer breaches this Contract or any other Contract contract that the Customer has with BT and, if the breach is capable of remedy, fails to put right the breach within a reasonable time of being asked by BT to do so. In this clause breach includes non-payment of any valid invoice by the due date; or (b) the Customer ceases to do business; or has bankruptcy or insolvency proceedings are brought against the Customer it; or the Customer does not make any payment under a judgement of a Court on time or the Customer makes an arrangement with its creditors (other than where solely for solvent amalgamation or solvent reconstruction); or a receiver, an administrative receiver or an administrator is appointed over any of the Customer’s assets its assets; or the Customer it goes into liquidation liquidation; or a notice is given, a petition is issued, a resolution is passed or any other step is taken to commence any of the foregoing procedures; or there is a corresponding event under Scottish Law. law. 8.5 The Customer will continue to pay the charges during any period of suspension. 8.5 8.6 When this Contract ends, the terms and conditions of this Contract charges will cease to apply to the lines and services within the Inventory and will be superseded by the standard charges and terms in the Standard Contracts. 8.6 The ending 8.7 If the Customer or BT ends this Contract or the Service during the Minimum Period the Customer will pay BT the reconciliation charge set out in the BT Price List. This clause will not apply if: (a) the Customer ends this Contract or Service during the Minimum Period because BT is in material breach of this Contract; or (b) BT ends this Contract or the Service during the Minimum Period for convenience; or (c) this Contract ends under clause 3.4 and the service provided under the Standard Contract has been ended for an event covered by the “Matters Beyond Our Reasonable Control” clause or equivalent clause in the Standard Contract; or. (d) this Contract ends because clause 11.3 applies. 8.8 If this Contract ends BT will refund any money owed to the Customer after first deducting any money due to BT under this Contract or any other contract that BT has with the Customer. 8.9 Notice of termination by the Customer will also constitute termination of this Contract by the Customer on behalf of all relevant Subsidiaries. 8.7 Where the Customer ends this Contract prior to the Spend Measurement Date, the BT Business Reward Credit will not apply.
