Therefore, in furtherance of the provisions of the preceding paragraph, Executive and the Company agree that if a court or arbitrator should decline to enforce the provisions of Section 5(c), Section 5(c) must be considered modified to restrict Executive’s competition with the Group to the maximum extent, in both time and geography, which the court or arbitrator finds enforceable.
