Engineering Change Orders. Applied may change its drawings, design, and specifications at any time in accordance with Section 25, Changes, of Applied's Standard Terms and Conditions of Purchase. Applied Supplier Engineer will review with MKS all proposed Engineering Change Orders (ECO's) that impact the form, fit, or function of Items. Applied will, in writing, provide approved ECO's (refer to Attachment 12) and state the effective dates of all changes. Unless otherwise notified, Applied Receiving Inspection will inspect to the latest revision in effect at the time of receipt MKS may request engineering changes via a MKS Problem Sheet (refer to Attachment 13). This form should be submitted to Applied Supplier Engineer. Changes shall not be implemented by MKS until written permission to proceed is given by Applied's authorized purchasing representative and the agreement is modified accordingly. Applied will consider claims for adjustment in the terms of this Agreement if made before the implementation of the changes.
Engineering Change Orders. “ECO”)
(a) SMC may request, in writing, that ABLECOM incorporates engineering changes into the Product and ABLECOM shall execute an ECO or an ECN accordingly. However, if such an ECO will incur additional cost, ABLECOM shall submit to SMC a written estimate that states the cost, time of implementation and the impact on the delivery schedule and pricing within three (3) working days after ABLECOM provides an ECR to SMC.
(b) ABLECOM shall carry out ECO or ECN immediately after receipt of ECR from SMC. Where ECO and ECN are issued under reasonable cost and arrangement, SMC shall be liable for all excess inventory provided that ABLECOM notifies SMC of such excess inventory within three (3) weeks of the ECR.
(c) If ABLECOM makes any change without an ECO or ECN from SMC, SMC has the right to reject the Product and ABLECOM will be liable for all costs and damages.
(d) If SMC requests that ABLECOM deliver the Products without any ECR, ECO or ECN, SMC shall be liable for and agree to pay all the costs and expenses, such as, but are not limited to, rework and transportation cost.
Engineering Change Orders. PINNACLE will notify OEM of Engineering Change Orders for the Products. OEM will receive notification from PINNACLE within 21 days of the proposed change. If the proposed change is deemed to affect form, fit, function or Media 100 compatibility of the product OEM agrees to respond to PINNACLE in writing within 10 days with notification of such. OEM will receive software updates in advance for testing purposes.
Engineering Change Orders. Supplier reserves the right to make substitutions and modifications in the specifications and design of any Standard Products that do not materially, adversely affect form, fit or function. Substitutions and modifications do not create or imply any obligation to make substitutions or modifications to any Standard Products previously provided.
Engineering Change Orders. The Buyer may, upon written notice to the Company, make changes in the design, performance, specifications or other parameters of any Product manufactured by the Company under this Agreement ("Change Order"). All Change Orders are subject to cost review by the Company. The Company shall advise the Buyer of any adjustments to the price and delivery schedule resulting from all Change Orders. The minimum cost for the implementation of a Change Order shall be $500.00, provided that any Change Order which is required to be implemented within a period of less than ten (10) working days following receipt shall be subject to a minimum cost of $1,500.00. All costs incurred by the Company in reworking processes or retooling, as documented in reasonable detail, shall be fully reimbursed by the Buyer. The Company will provide, within five (5) working days from receipt of a Change Order, a written statement setting forth any cost modification, pricing impact, and Production or delivery changes, together with an explanation of the sources of the charges, as required. The Company will use its reasonable best efforts to halt Production and minimize costs incurred in the event of receipt of a Change Order. All materials, components, and work-in-process that have or will become unused or obsolete as a result of Change Orders by the Buyer shall be purchased by the Buyer, at the Company's cost plus a 30% overhead and profit adder.
Engineering Change Orders. Should Seller materially change, improve, or add any enhancements or updates to the Products at any time, Seller shall provide reasonable prior written notice to Buyer of any such material change, improvement, enhancement or update that affects the form, fit or function of any Product or related product or any changes to Seller's part number for the Product prior to its implementation. Buyer shall respond to the requested changes within *** days or the change will be deemed accepted. Buyer's response time may be reduced by mutual agreement if the change improves safety or reliability.
Engineering Change Orders. Engineering changes suggested by KMC in the ordinary course of production shall be distinguished from the redesign work described in subsections (a) through (e), above. The manufacturing quality plan to be prepared by KMC and approved by Gen-Probe will establish a process for prompt evaluation and implementation of engineering changes in the course of production through means of Engineering Change Orders ("ECOs"). All ECOs must be approved by Gen-Probe in writing. It is the intent of the parties that the ECO process be one which permits expedited response to the circumstances giving rise to the ECO. Gen-Probe recognizes that the ECO process may require changes in nonrecurring engineering charges, production schedules and/or material costs and the Transfer Price of the Instrument.
Engineering Change Orders. Prior to Seller's making any "major revision" (i.e., a change that may affect the form, fit or function of a Product) to a Product assembly or sub-assembly (including, to the extent practicable, changes incorporated by Seller's vendors, manufacturers and subcontractors ("Suppliers")), Seller will request Buyer's consent to such major revision by issuing an ECO to Buyer. At a minimum, Buyer's approval of an ECO issued by Seller with respect to the top level assembly of a Product will be required prior to release of the Product to production. Notwithstanding any failure by Buyer to specifically approve ECOs previously presented to Buyer by Seller, Buyer's execution of an ECO shall be deemed to constitute Buyer's approval of the revision subject to such ECO, together with all Components and Specifications that are incorporated into the assembly or sub-assembly that is the subject of such ECO. In no event will Seller ship any Products to Buyer that incorporate Specifications that have not been approved by Buyer in accordance with this Section 1.4, or that have been rendered obsolete by an ECO approved by the parties in accordance with this Section 1.
Engineering Change Orders. All Engineering change orders will be communicated to Seller via an Engineering Change Order (ECO). If such change affects delivery, quality or the amount to be paid by Buyer, Seller shall notify Buyer immediately. The charges for scrappage and/or rework resulting from any change submitted via Buyer's ECO process, shall be limited to the materials in process at the time of the change and within Seller's manufacturing cycle, as defined in addendum. These charges will be communicated in their entirety in writing, to Buyer, within fifteen (15) working days of receipt of ECO. Buyer will not be responsible for any costs associated with the change order which are not identified within the fifteen (15) working day review window.
Engineering Change Orders. McDATA shall provide its Specification(s) and may provide McDATA Process Documentation to SUPPLIER for existing Products. SUPPLIER shall provide to McDATA an ECO Project Plan for Engineering Change Orders (Section 4.6) including without limitation feedback, material and manufacture risk assessment, and suggested improvements in writing as to the Manufacturability of such Engineering Change Orders (ECO). Upon McDATA’s review of such ECO Project Plan submitted by SUPPLIER, and upon mutual agreement and written authorization by McDATA, SUPPLIER shall commence production of the Products implementing the ECO or continue production without implementing such ECO. In the event McDATA instructs SUPPLIER to commence production implementing such ECO prior to mutual agreement of such ECO Project Plan, such commencement does not indicate SUPPLIER’s agreement as to the Manufacturability of such ECO design. If SUPPLIER commences production prior to mutual agreement and/or McDATA’s specific instructions to commence or continue production, and McDATA rejects the finished Product when delivered to McDATA, then SUPPLIER shall bear the production costs associated with that production run. McDATA’s failure to reject such Product shall not invalidate SUPPLIER’s warranty obligations hereunder.
