Escrow Release. Subject to the provisions of Sections 8, 9 and 10 below, Escrow Agent is authorized to release the Escrow Materials to Cisco upon receiving written notice from Cisco certifying that Cisco is entitled to the Escrow Materials (the “Notice”) pursuant to Section 5 above. Cisco will specifically instruct the Escrow Agent how to make such delivery.
