Common use of Escrow Release Clause in Contracts

Escrow Release. The Manitowoc Parties shall not seek the release of any Escrowed Property from the Escrow Account unless such release is in compliance with the terms of the Indenture and the Escrow Agreement. On the Escrow Release Date, the Escrow Issuer shall cause to be delivered to the Escrow Agent an executed copy of the Escrow Release Officers’ Certificate (as defined in the Escrow Agreement).
