Establishment of Authority. Pursuant to the Act, the City, the District and Citizens hereby establish the Authority as a separate legal entity, organized as a political subdivision and instrumentality of the State of Indiana acting by and through an Indiana nonprofit corporation, named "CWA Authority, Inc." Except as otherwise provided and to the extent limited in this Agreement, the Authority shall have all of the powers of an Indiana nonprofit corporation and all of the powers, excluding in the case of the City and the District, taxing power and taxing authority, that may be exercised by the City, the District and Citizens that are necessary, useful or appropriate to acquiring, owning and operating the System and/or having jurisdiction over disposal of sewage, industrial wastes or other wastes and qualifying as a publicly owned pretreatment works within the meaning of the Clean Water Act, in each case, in accordance with the purposes set forth herein, the Purchase Agreement and all applicable laws, including, without limitation, the powers specified in Section 3.6. The establishment of the Authority shall become effective upon the filing by Citizens of the Articles with the Indiana Secretary of State and the adoption by the Authority Board of the Bylaws.
