Estimates and Projections. In providing opinions of cost, financial analyses, economic feasibility projections, and schedules for potential projects, the Consultant has no control over cost or price of labor and material; unknown or latent conditions of existing equipment or structures that may affect operation and maintenance costs; competitive bidding procedures and market conditions; time or quality of performance of third parties; quality, type, management, or direction of operating personnel; and other economic and operational factors that may materially affect the ultimate project cost or schedule. Estimates and Projections. Estimates and projections relating to development budgets, finance, and other aspects of CONSULTANT’s analysis, which may be reduced to writing in the Services, will be based upon reasonable assumptions, information provided to B&D by Client or other sources, reasonable analytical techniques, and professional judgment. Actual costs and financial performance, however, will be influenced by market and other external factors. Accordingly, B&D does not represent or warrant that its estimates and projections will reflect Client’s actual costs and financial performance.
Estimates and Projections. The Company has previously provided the Purchaser with operating and financial projections and forecasts prepared as of June 30, 2009 (the “June 30 Projections”). It is the Company’s practice to prepare and update its internal operating and financial projections and forecasts on a quarterly basis, and such projections and forecasts prepared for the quarter ending September 30, 2009, to the extent any portion of the June 30 Projections are no longer relevant, shall supersede such portions of the June 30 Projections.

Contractor shall make every reasonable effort to provide accurate estimates and projections.
Estimates and Projections. MAI’s estimates and projections of construction costs and/or schedules, operation and maintenance costs, equipment characteristics and performance, and operating results are based on MAI’s experience, qualifications and judgment. Since MAI has no control over weather, cost and availability of labor, material and equipment, labor productivity, construction contractor’s procedures and methods, and other factors, MAI cannot and does not guarantee the accuracy of any of MAI’s estimates and projections related to this Project.
Estimates and Projections. All estimates and projections of the economic results of the operation of the Hotel made by Operator in contemplation of or in the course of implementing this Agreement (including, without limitation, those made pursuant to Section 9.4) need not take into account, or make provision for, any then unknown Force Majeure, and Operator does not warrant or guarantee such projections in any way whatsoever. Accordingly, (i) neither Operator nor any of its Affiliates shall have any liability whatsoever to Owner or any other Person for any divergence between such budgets and projections (including without limitation the Business Plan) and actual operating results achieved, (ii) the failure of the Hotel to achieve any Business Plan for any Calendar Year shall not constitute a default by Operator or give Owner the right to terminate this Agreement, except as expressly provided in Section 16.2, and (iii) if Owner provides any such budgets or projections (including without limitation the Business Plan) to a third party, Owner shall advise such third party in writing of the substance of the disclaimer of liability set forth in this Section 9.5. Any use of any budget or projection by Owner or any other Person is based on this understanding.

The system is nearing capacity and there is heavy corrosion resulting in deterioration of assets. The facility currently produces Class A Biosolids through the use of onsite drying beds, and will continue to operate in this manner for the foreseeable future. A two-meter BFP belt filter press (BFP) and dry polymer feed system was installed for dewatering digested sludge in 2005. The BFP unit replaced a centrifuge that was installed to ▇▇▇▇▇▇▇ sludge in 1996. The BFP typically produces ▇▇▇▇▇▇▇ cake with solids concentrations ranging between 11 and 12 percent. Dewatered solids are pumped using a progressing cavity pump into a cake ▇▇▇▇▇▇. At times when the solids concentration exceeds 14 percent, the throat area has difficulty passing the dewatered solids. The assets in the building have deteriorated due to a highly corrosive and humid environment. The current building is lacking adequate ventilation and fume hoods over sludge processes. Buyer acknowledges that: (i) any estimates, plans or projections which have been furnished to it with respect to the activities undertaken originally or to be undertaken by the Company are based on certain assumptions made by the Company; (ii) actual experience may vary from such assumptions; (iii) such estimates, plans and projections may never be achieved; and (iv) Buyer has not relied upon the achievement of any such estimates and projections in making its investment decision to acquire the Shares.
