EU Data Sample Clauses

EU Data. If the European Union’s General Data Protection Regulation 2016/679 (the “GDPR”) governs Sage’s processing or controlling of personal data, then the Data Processing Addendum posted at ▇▇▇▇▇://▇▇▇.▇▇▇▇.▇▇▇/en-us/legal/▇▇▇▇/ (or such other URL as we notify you of) applies. We may update that addendum from time to time. If there is any conflict between that addendum and this agreement, that addendum will control.
EU Data. Convercent has certified that it complies with the US-EU Privacy Shield (▇▇▇.▇▇▇▇▇▇▇▇▇▇▇▇▇.▇▇▇), and will maintain such certification during the Term. With respect to processing any Customer Data that is Personal Data and originates from the European Economic Area (“EEA Personal Data”), Convercent will comply with the requirements of the Privacy Shield.
EU Data. To the extent any Customer Data includes personal data received from the European Union (“EU Data”), Customer will be deemed a data controller of such EU Data and Worldscape will be deemed a data processor of such EU Data. Worldscape will only use Customer Data for as authorized under this Agreement.
EU Data. If Client engages in the “processing” of any “personal data” (as such terms are defined in the EU General Data Protection Regulation 2016/679 (“GDPR”)) from the European Union, then Client will: (a) inform Libchalk Hosting in writing of Client’s intended use of the Libchalk Hosting Services for processing personal data from the EU, (b) comply with all requirements of the GDPR and all implementing rules, associated policies, and directives, (c) execute, as between Client and Libchalk Hosting, a data processing agreement in compliance with the GDPR (on Libchalk Hosting’s standard form), whereby Client is the data controller and Libchalk Hosting is the data processor or whereby Client is the data processor and Libchalk Hosting is the sub-processor (or level 2 processor) if Client is the service provider of a data controller (as the terms “processor”, “controller”, and “sub-processor” are defined by the GDPR), (d) adhere to the GDPR, including the designation of Client’s data protection officer and execution by Client of data processing agreements with data controllers and Client’s own sub-processors, and (e) ensure that Client is fully transparent about the nature and purpose of its processing of personal data. In addition to Client’s indemnification obligations under this MSA, Client will further indemnify Libchalk Hosting (including Libchalk Hosting’s Representatives) from and against any Claims against Libchalk Hosting or Losses incurred by Libchalk Hosting that result from: (i) Client’s breach of or misrepresentation with respect to Client’s obligations regarding processing of personal data from the EU, or (ii) Client’s breach of the GDPR or other applicable law.

  • Technical Data For the purpose of this Agreement, "TECHNICAL DATA" shall mean all information of the Company in written, graphic or tangible form relating to any and all products which are developed, formulated and/or manufactured by the Company, as such information exists as of the Effective Date or is developed by the Company during the term hereof.
