Excluded Intellectual Property Clause Samples
The Excluded Intellectual Property clause defines which intellectual property rights or assets are not included within the scope of a contract or transaction. Typically, this clause lists specific patents, trademarks, copyrights, or proprietary technologies that remain the sole property of the original owner and are not transferred, licensed, or otherwise affected by the agreement. By clearly delineating what intellectual property is excluded, the clause prevents misunderstandings and disputes over ownership, ensuring that both parties are aware of the boundaries of the deal and protecting the interests of the party retaining those rights.
