Common use of Exculpated Parties Clause in Contracts

Exculpated Parties. Notwithstanding anything to the contrary contained in this Agreement, none of the shareholders, directors, officers, trustees, members, managers, partners, employees, or agents of Donee, Donor, or their constituent parties nor any other person, partnership, corporation, company, or trust, as principal of Donee or Donor, whether disclosed or undisclosed (collectively, the “Exculpated Parties”) shall have any personal obligation or liability hereunder, and neither Donee nor Donor shall seek to assert any claim or enforce any of its rights hereunder against any Exculpated Party. The provisions of this Section shall survive the termination of this Agreement or the Closing.

The provisions of this Section shall survive the termination or the Closing of this Agreement or the ClosingAgreement.
