Executed Documents. The Initial Purchasers shall have received fully executed originals of each Document (each of which shall be in full force and effect on terms reasonably satisfactory to the Initial Purchasers), and each opinion, certificate, letter and other document to be delivered in connection with the Offering or any other Transaction.

Executed Documents. The Borrower shall have delivered to the Issuing Lender a copy of this Amendment duly signed on behalf of each party hereto.

Executed Documents. The Company and its Subsidiaries shall have each duly executed the following documents to which they are parties, and shall have delivered to Newco the following: (a) this Agreement; (b) the Notes; (c) the Subsidiary Security Agreement and Subsidiary Guaranty, where applicable; (d) Collateral Assignments of Tenant's Interest in Lease for each lease of real property to which the Company is a party; and (e) such financing statements or other documents for filing with public officials with respect to the Security Instruments as Newco may reasonably request.

Executed Documents. Receipt by the Agent of counterparts of this Amendment duly executed by the Lessee, each Guarantor, the Lessor, the Majority Lenders and the Agent.
