Execution and Authorization of Bank Merger Agreement. Prior to the Effective Time, (a) NewMil shall approve the Bank Merger Agreement as the sole shareholder of New Milford Savings Bank, and (b) New Milford Savings Bank and Nutmeg shall execute and deliver the Bank Merger Agreement.
