Execution of Ancillary Agreements. Each of the Ancillary Agreements shall have been duly executed and delivered by the parties thereto.

Execution of Ancillary Agreements. Sellers covenant as a promesa de hecho ajeno, that they shall cause the Company, Membrantec S.A., ▇▇. ▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇ Fernández, his immediate family and any entity owned directly or indirectly by any of the above mentioned entities or individuals in more than 10% to execute not later than on the Closing Date, the Ancillary Agreements to which each of them is to be a party pursuant to this Agreement.
