Common use of Execution of the Second Amendment Clause in Contracts

Execution of the Second Amendment. (a) The Company, the Administrative Agent and the Required Lenders shall have executed an original counterpart of this Second Amendment and shall have delivered (including by way of facsimile transmission) the same to the Administrative Agent. (b) The Administrative Agent shall have received an original or facsimile counterpart of the Guarantor Acknowledgment and Consent in the form of Exhibit A attached hereto (the “Consent”) duly executed and delivered by each of the Principal Subsidiary parties thereto.
