Exit Management Plan. a) The Partner shall provide the Director, CSB/▇▇▇▇▇ ▇▇▇▇▇▇ Project with a recommended exit management plan ("Exit Management Plan") which shall deal with at least the following aspects of exit management in relation to the MSA as a whole and in relation to the Project Implementation, and the Operation and Management SLA. i. A detailed program of the transfer process that could be used in conjunction with a Replacement Partner including details of the means to be used to ensure continuing provision of the services throughout the transfer process or until the cessation of the services and of the management structure to be used during the transfer; ii. plans for the communication with such of the Partner's sub contractors, staff, suppliers, customers and any related third party as are necessary to avoid any material detrimental impact on CSB/SUGAM ▇▇▇▇▇▇ Project's operations as a result of undertaking the transfer; iii. (if applicable) proposed arrangements for the segregation of the Partner's networks from the networks employed by CSB/▇▇▇▇▇ ▇▇▇▇▇▇ PROJECT and identification of specific security tasks necessary at termination; iv. plans for provision of contingent support to CSB/▇▇▇▇▇ ▇▇▇▇▇▇ PROJECT, and Replacement Partner for a reasonable period after transfer. v. The Partner shall re-draft the Exit Management Plan annually thereafter to ensure that it is kept relevant and up to date. vi. Each Exit Management Plan shall be presented by the Partner to and approved by the Director, CSB/SUGAM ▇▇▇▇▇▇ Project or its nominated agencies. vii. The terms of payment as stated in the Terms of Payment Schedule include the costs of the Partner complying with its obligations under this Schedule. viii. In the event of termination or expiry of MSA, Project Implementation, or Operation and Management SLA, each Party shall comply with the Exit Management Plan. ix. During the exit management period, the Partner shall use its best efforts to deliver the services. x. Payments during the Exit Management period shall be made in accordance with the Terms of Payment Schedule. xi. (iv. plans ) Plans for provision of contingent support to CSB/▇▇▇▇▇ ▇▇▇▇▇▇ PROJECTMITS, and Replacement Partner SI for Compute Infrastructure for a reasonable period after transfer.
v. 9.2 The Partner SI for Compute Infrastructure shall re-draft the Exit Management Plan annually thereafter to ensure that it is kept relevant and up to date.
vi. 9.3 Each Exit Management Plan shall be presented by the Partner SI for Compute Infrastructure to and approved by the Director, CSB/SUGAM ▇▇▇▇▇▇ Project MITS or its nominated agencies.
vii. 9.4 The terms of payment as stated in the Terms of Payment Schedule include the costs of the Partner SI for Compute Infrastructure complying with its obligations under this Schedule.
viii. 9.5 In the event of termination or expiry of MSA, and Project Implementation, or Operation and Management SLA, each Party shall comply with the Exit Management Plan.
ix. 9.6 During the exit management period, the Partner SI for Compute Infrastructure shall use its best efforts to deliver the services.
x. 9.7 Payments during the Exit Management period shall be made in accordance with the Terms of Payment Schedule.
xi. 9.8 This Exit Management plan shall be furnished in writing to the Director, CSB/SUGAM ▇▇▇▇▇▇ Project MITS or its nominated agencies within 90 days from the Effective Date of this Agreement.

(iii. (if applicable) proposed arrangements for the segregation of the PartnerService Operator's networks from the networks employed by CSB/▇▇▇▇▇ ▇▇▇▇▇▇ PROJECT Punjab State eGovernance Society and identification of specific security tasks necessary at termination;
(iv. plans ) Plans for provision of contingent support to CSB/▇▇▇▇▇ ▇▇▇▇▇▇ PROJECTPunjab State eGovernance Society, and Replacement Partner Service Operator for a reasonable period of up to 12 months after transfer.
v. 9.2 The Partner Service Operator shall re-draft the Exit Management Plan annually thereafter to ensure that it is kept relevant and up to date.
vi. 9.3 Each Exit Management Plan shall be presented by the Partner Service Operator to and approved by the Director, CSB/SUGAM ▇▇▇▇▇▇ Project Punjab State eGovernance Society or its nominated agencies.
vii. 9.4 The terms of payment as stated in the Terms of Payment Schedule include the costs of the Partner Service Operator complying with its obligations under this Exit Management Schedule.
viii. 9.5 In the event of termination or expiry of MSA, including its Schedules, Annexures and Appendixes, along with the NDA, SLA and the Schedules and Annexures thereof and Project Implementation, or Operation and Management SLA, each Party shall comply with the Exit Management Plan.
ix. 9.6 During the exit management period, the Partner Service Operator shall use its best efforts to deliver the services.
x. 9.7 Payments during the Exit Management period shall be made in accordance with the Terms of Payment Schedule.
xi. 9.8 This Exit Management plan shall be furnished in writing to the Director, CSB/SUGAM ▇▇▇▇▇▇ Project Punjab State eGovernance Society or its nominated agencies within 90 days from the Effective Date of this Agreement.

Exit Management Plan. a) The Partner SP shall provide the Director, CSB/▇▇▇▇▇ ▇▇▇▇▇▇ Project MCA or its nominated agency with a recommended exit management plan ("Exit Management Plan") which within twelvemonths of signing the Agreement.
b) The SP is required to revise the plan if required based on the suggestions of MCA or its nominees.
c) This Exit Management Plan shall be furnished in writing to the MCA or its nominated agencies.
d) The SP shall update the Exit Management Plan annually thereafter to ensure that it is kept relevant and up to date and make it available to MCA or its nominees.
e) The key focus of the Exit Management Plan will be to ensure that using the plan MCA will be able ensure that the services to its stake holders are continued to be provided without any disruptions.
f) The Exit Management Plan shall deal with at least the following aspects of the exit management in relation to the MSA Agreement as a whole or the particular service of the Agreement and in relation to the Project Implementation, and the Operation and Management SLA.
g) The Exit Management Plan will include a thorough description of the following
i. The SP’s overall methodology and approach to complete Transition, including the Transition phases and dates of the phases relative to the Effective Date.
ii. The activities and the major deliverables
iii. The acceptance criteria relating to each of the Transition Deliverables.
iv. The milestone dates related to each of the Transition Deliverables.
v. How the SP will work with the existing provider(s) and other Third-Party Vendors in a manner that will facilitate a seamless transfer of service (and clearly identify the risks it envisages and how its solution and approach mitigates the impact of these risks)
vi. The roles and responsibilities of the Parties during the Transition Period. For all tasks for which SP identifies MCA responsibilities, SP is to describe the level of MCA effort anticipated, including an estimate of resources needed (number of hours, by role or title, by activity, and by month).
vii. A detailed program with structure, resource loading, responsibilities, etc of the transfer transition process that could be used in conjunction with a Replacement Partner including SP or the MCA’s Project team or any agency/organization nominated by MCA.
viii. The details of the means to be used to ensure continuing provision of the services throughout the transfer process or until the cessation of the services and of the management structure to be used during the transfer;.
ii. plans h) The SP will develop a project plan as part of the Exit Management Plan, which will detail the specific tasks and activities to be performed as part of the Exit Management, including the name of each task or activity, the start and stop dates, the required resources, the dependencies between tasks, and the completion percentage.
i) The SP will consult with MCA to add any MCA tasks into the Exit Management Plan that are deemed necessary by the Parties to ensure a complete and integrated approach to Transition planning and Project Management.
j) The Exit Management Plan would also elaborate the following
i. Plans for the communication with such of the PartnerSP's sub contractors, staff, suppliers, customers and any related third party as are necessary to avoid any material detrimental impact on CSB/SUGAM ▇▇▇▇▇▇ Project's ’s operations as a result of undertaking the transfer;transfer due to termination or expiry.
ii. A comprehensive list of assets to be transferred.
iii. (if applicable) The proposed arrangements for the segregation of the Partner's networks communication means (including but not limited to transfer of data in electronic forms, emails etc.) from the networks employed by CSB/▇▇▇▇▇ ▇▇▇▇▇▇ PROJECT the MCA and identification of specific security tasks necessary at termination;for ensuring this.
iv. plans Plans for provision of contingent support to CSB/▇▇▇▇▇ ▇▇▇▇▇▇ PROJECT, the MCA and Replacement Partner SP for a reasonable period as per the MCA’s requirement after transfer.
v. The Partner shall re-draft acceptance mechanisms for the Exit Management Plan annually thereafter to ensure that it is kept relevant different deliverables and up to datethe successful completion of exit management.
vi. k) Each Exit Management Plan shall be presented by the Partner SP to and approved by the Director, CSB/SUGAM ▇▇▇▇▇▇ Project MCA or its nominated agencies.
vii. l) The terms of payment as stated Exit Management Plan is considered a valid plan and used implement the transition work only when it is approved by MCA or its nominee.
m) In developing or changing the Exit Management Plan, SP will not impose any additional obligations on MCA, or change the MCA’s Exit Management obligations specified in the Terms draft Exit Management Plan (including their timing), without MCA’s approval.
n) SP will have responsibility for all costs associated with SP Personnel (including staff of Payment Schedule include any Subcontractors), equipment, Software, or other resources required to execute and will manage the Exit Management Plan. MCA shall only be responsible for the costs of associated with MCA personnel participating in the Partner complying with its obligations under this Schedule.
viii. In Transition and only to the event of termination or expiry of MSA, Project Implementation, or Operation and Management SLA, each Party shall comply with limit agreed by the Parties in the Exit Management Plan.
ix. During the exit management period, the Partner shall use its best efforts to deliver the services.
x. Payments during the Exit Management period shall be made in accordance with the Terms of Payment Schedule.
xi. This Exit Management plan shall be furnished in writing to the Director, CSB/SUGAM ▇▇▇▇▇▇ Project or its nominated agencies within 90 days from the Effective Date of this Agreement.

(iii. ) (if applicable) proposed arrangements for the segregation of the PartnerImplementation Agency's networks from the networks employed by CSB/▇▇▇▇▇ ▇▇▇▇▇▇ PROJECT GSCSCL and identification of specific security tasks necessary at termination;
(iv. plans ) Plans for provision of OEM support for the hardware and software components and any other contingent support to CSB/▇▇▇▇▇ ▇▇▇▇▇▇ PROJECT, and Replacement Partner for a reasonable period of 9 months after transferthe expiry or termination of the contract period as the case may be.
v. 9.2. The Partner Implementation Agency shall re-draft the Exit Management Plan annually thereafter to ensure that it is kept relevant and up to date.
vi9.3. Each Exit Management Plan shall be presented by the Partner Implementation Agency to and approved by the Director, CSB/SUGAM ▇▇▇▇▇▇ Project or its nominated agenciesGSCSCL.
vii9.4. The terms of payment as stated in the Terms of Payment Schedule include the costs of the Partner Implementation Agency complying with its obligations under this Schedule.
viii9.5. In the event of termination or expiry of MSA, and Project Implementation, or Operation and Management SLA, each Party shall comply with the Exit Management Plan.
ix9.6. During the exit management period, the Partner Implementation Agency shall use its best efforts to deliver the services.

(iv. plans ) Plans for provision of contingent support to CSB/▇▇▇▇▇ ▇▇▇▇▇▇ PROJECTMission Convergence project, and Replacement Partner for a reasonable period after transfer.
v. b. This Exit Management plan shall be furnished in writing to Director, Mission Convergence project or its nominated agencies within 90 days from the Effective Date of this Agreement.
c. The Partner shall re-draft the Exit Management Plan annually thereafter to ensure that it is kept relevant and up to date.
vi. d. Each Exit Management Plan shall be presented by the Partner to and approved by the Director, CSB/SUGAM ▇▇▇▇▇▇ Project Mission Convergence project or its nominated agencies.
vii. e. The terms of payment as stated in the Terms of Payment Schedule include the costs of the Partner complying with its obligations under this Schedule.
