Factory Warranty. Except that is otherwise specified in the purchasing contract, AISWEI(Jiangsu) grants end purchasers a 5 years factory warranty for all inverter and a 2 years factory warranty for all monitoring devices. The AISWEI(Jiangsu) factory warranty covers all for repair and spare parts for the agreed period of time, beginning from the earlier date of the following two:  First installation date or  6-months after the shipment dispatch date from AISWEI delivery. For inverters purchased from AISWEI (Jiangsu) the Extended Warranty can be purchased for a period of 5, 10 or 15 years within 48 months (4 years) from the date of Factory Warranty effective date. The purchased Extended Warranty is uniquely bound to the product and cannot be transferred. There is a discount price for the Extended Warranty purchase within 24 months (2 years) of the Factory Warranty commencement date. The Extended Warranty price list and further service requirements are available from AISWEI sales. Factory Warranty. 10.1. MSYS gives primary no warranty unless there is otherwise agreed like a guarantee for the delivered goods in accordance with the factory c.q. importer provisions for the period specified on the warranty card. 10.2. Applying the guarantee is only handled by MSYS if the customer submits this appeal with MSYS within five days after he has discovered the defect or should reasonably concluded it. 10.3. Guarantee will be granted only on presentation of the original by MSYS to the customer invoice issued and signed voucher for training. 10.4. If it is technically defective, MSYS will provide for replacement material with the permission of the supplier. 10.5. Every right to warranty expires if · Without permission from MSYS, changes or repairs to the delivered goods are made by or on behalf of the client.. · There is a case of careless or improper use of the delivered item, including the failure of the offered instruction / training or non-compliance with the prescribed use or normal maintenance. · The delivered item is used for other purposes other than its intended use. 10.6. The cost to change or repair the supplied goods that are carried by or on behalf of the costumer without prior permission from MSYS are never at the expense of MSYS.

  • Service Warranty Provider has carefully examined and analyzed the provisions of this Agreement, including but not limited to all exhibits attached and incorporated into it, and can and will perform, or cause, the Services to be performed in strict accordance with the provisions and requirements of the Agreement. Services will be performed in a timely, professional and workmanlike manner in accordance with all applicable industry and professional standards.

  • Title Warranty Assignor warrants that: a. Except as specifically set forth in the Purchase and Sale Agreement described in Article 10. below or under the contracts and agreements listed in Exhibit 1 to this Assignment, and further except as a consequence of the formation of a unit, neither Assignor nor any parent, subsidiary or affiliate of Assignor during their respective periods of ownership has (A) executed any deed, conveyance, assignment or other instrument as an assignor, grantor, sublessor or in another capacity or (B) has breached any obligation under any Lease that would (i) result in Assignee's being entitled to receive less than the net revenue interest for any Lease, well or unit set forth in Exhibit 1 of all oil and gas in, under, and that may be produced, saved and marketed from or attributable to such Lease, well or unit, or (ii) obligate Assignee to bear the costs and expenses relating to the maintenance, development and operation of such Lease, well or unit in an amount greater than the working interest for such Lease, well or unit set forth in Exhibit 1, unless the net revenue interest attributable to said working interest is increased by a proportionate or greater amount; and b. Except as specifically set forth in the Purchase and Sale Agreement described in Article 10. below or under the contracts and agreements listed in Exhibit 1 to this Assignment, the Assets are free of all liens, security interests and encumbrances; (the limited warranty set forth in subparagraphs (a) and (b) above shall hereinafter be referred to as the Special Limited Warranty ). Assignor shall convey the Assets with no warranty whatsoever other than the Special Limited Warranty, but with full substitution and subrogation to Assignee in and to all covenants, agreements, representations and warranties made by others heretofore given or made in connection with the Assets or any part thereof.
