FAILURE TO PROVIDE THE SERVICE. In the event that a Service Provider fails to provide the Synchronous Compensation Service then the Service Provider will not be paid under the terms of this Schedule 2. The Company reserves the right to test the Providing Unit’s Synchronous Compensation Service capability as a consequence of a failure to provide the service and the Company shall be liable for the costs of such test.
FAILURE TO PROVIDE THE SERVICE. 15.1. In the event that the Council reasonably believes that the Organisation may not be providing the Service in accordance with this Agreement, the Council may require the Organisation to give officers of the Council access to the Organisation’s premises, at all reasonable times to inspect any documents and records such officers consider necessary to enable the Council to satisfy itself whether the Service is being provided in accordance with this Agreement provided that all such documents and records shall be treated as confidential information. 15.2. Where the Council exercises its rights under clause 16.1 it shall normally give prior written notice of any such inspection of documents, specifying the officers involved and the purpose of the visit, provided that nothing in this clause shall prevent the Council from the making of unannounced visits. 15.3. The Council reserves the right to exercise a financial penalty, as per section 30 of this Agreement, if the Organisation fails to deliver on the commitments outlined in this Agreement.

  • Failure to Provide Insurance Grantee fails to provide or maintain in effect any policy of insurance required in Article 10.

  • Obligation to Provide Information Each party’s obligation to provide information shall be as follows: (a) TAM shall cause the Subadviser to be kept fully informed at all times with regard to the securities owned by the Fund, its funds available, or to become available, for investment, and generally as to the condition of the Fund’s affairs. TAM shall furnish the Subadviser with such other documents and information with regard to the Fund’s affairs as the Subadviser may from time to time reasonably request. (b) The Subadviser, at its expense, shall supply the Board, the officers of the Trust and TAM with all information and reports reasonably required by them and reasonably available to the Subadviser relating to the services provided by the Subadviser hereunder, including such information the Fund’s Chief Compliance Officer reasonably believes necessary for compliance with Rule 38a-1 under the 1940 Act.

  • Access to the Service Subject to Subscriber’s compliance with the terms of this Agreement, Inriver hereby grants to Subscriber the right to access and use the Service and the Documentation for the internal business purposes for such Business Units as specified in an Order Form on a limited, revocable, non-exclusive, non-transferable basis in accordance with the scope identified in an Order Form. Inriver will provide Subscriber with a primary administrator Account for managing and granting access to its Authorized Users and Subscriber is responsible for activating them. Subscriber hereby instructs Inriver to grant the Subscriber’s implementing partner access to Subscriber’s environment for the Service. If an implementing partner no longer shall have access to the Service, Subscriber shall notify Inriver of this and Inriver will remove such access.

  • Access to the Services ID’s for access to Vendor Core Research and Analyst Inquiry may not be shared. Access to the Services is restricted to the number of named individuals (each a “Licensed User”) as identified in the Customer Purchase Order.

  • B1 The Services The Contractor shall supply the Services during the Contract Period in accordance with the Authority’s requirements as set out in the Specification and the provisions of the Contract in consideration of the payment of the Contract Price. The Authority may inspect and examine the manner in which the Contractor supplies the Services at the Premises during normal business hours on reasonable notice.
