The Organisation. 3.2.1 is solely responsible for any use as well as the contents of any transmission, message or transaction performed through the usage of the Organisation Services or Organisation Services Functionalities by its Organisation Manager or Organisation Employee or any other person or organisation delegated to perform any use or transaction on behalf of the Organisation; 3.2.2 warrants to all Service Providers who will grant access to any electronic service to the Organisation through the Organisation Profile generated within the Organisation Manager and/or Organisation Employee and/or any other person or organisation delegated by the Organisation to represent and act on behalf of the Organisation that: 3.2.2.1 no unauthorised person has ever had access to the Organisation Manager Profile; 3.2.2.2 the Organisation Services and the Organisation Services Functionalities are being used exclusively for appropriated, authorised and lawful purposes; 3.2.2.3 at the time that any act, use or transaction is carried out or performed through the Organisation Profile generated within the Electronic Identity Account of the Organisation Manager and/or Organisation Employee and/or any other person or organisation delegated by the Organisation to represent and act on behalf of the Organisation, the Organisation Manager, Organisation Employee or any other person or organisation delegated by the Organisation to represent and act on behalf of the Organisation was still validly authorised to act on behalf of the Organisation and have not been revoked; 3.2.2.4 all representations made and documents submitted by the Organisation or Organisation Manger are true and up-to-date; 3.2.3 indemnifies the Registration Authority and/or the Service Providers for any loss, damage and expense of any kind, arising out or in connection with: 3.2.3.1 the manner and extent of the use of the Organisation Services or Organisation Services Functionalities by any Organisation Manager and/or Organisation Employee appointed by the Organisation and/or any person or organisation which the Organisation appoints or delegates to appear and act on behalf of the Organisation or any other third party who purports to appear or act on behalf of the Organisation; 3.2.3.2 any negligence or wilful misconduct made by the Organisation, its Organisation Managers and/or Organisation Employees and/or any person or organisation which the Organisation appoints or delegates to appear and act on behalf of the Organisation th...

The Organisation. (a) represents and warrants that, as at the date of this Agreement, no Conflict of Interest exists or is likely to arise in relation to the entry into, or performance of obligations under, this Agreement by the Organisation or any of its employees; (b) undertakes to notify the Department, in writing, immediately upon becoming aware of the existence, or possibility, of a Conflict of Interest.

The Organisation. 1. The Contracting Parties hereby agree to establish, maintain and strengthen the South Pacific Regional Fisheries Management Organisation “the Organisation”, which shall carry out its functions as set forth in this Convention in order to achieve the objective of this Convention. 2. The Organisation shall consist of: (a) a Commission; (b) a Scientific Committee; (c) a Compliance and Technical Committee; (d) an Eastern Sub-regional Management Committee; (e) a Western Sub-regional Management Committee; (f) a Finance and Administration Committee; (g) a Secretariat, and any other subsidiary bodies that the Commission may, from time to time, establish in accordance with Article 9 paragraph 1 to assist it in its work. 3 The Organisation shall have legal personality in accordance with international law and shall enjoy in its relations with other international organisations and in the territories of the Contracting Parties such legal capacity as may be necessary to perform its functions and achieve the objective of this Convention. The immunities and privileges which the Organisation and its officers shall enjoy in the territory of a Contracting Party shall be subject to an agreement between the Organisation and the Contracting Party including, in particular, an agreement between the Organisation and the Contracting Party hosting the Secretariat.

The Organisation shall have international legal personality and shall enjoy in its relations with other international organisations and in the territories of the contracting Parties such legal capacity as may be necessary to perform its functions and achieve the objective of this Agreement. The immunities and privileges which the Organisation and its officers shall enjoy in the territory of a Contracting Party shall be subject to an agreement between the Organisation and the Contracting Party including, in particular, a headquarters agreement between the Organisation and the host Contracting Party. 4. The Chairperson of the Commission shall be the President of the Organisation and shall be its principal representative. 5. The Organisation. (a) warrants that it has the necessary authority, capacity and consents to enter into this Agreement and to deliver the Project, including in accordance with the Organisation's constitution and the State aid rules and regulations; (b) confirms that it shall be able to proceed with the Project as set out in its Grant Application Form and in accordance with the terms of this Agreement within three (3) months of the date of the Offer Letter and agrees and acknowledges that Age UK Wandsworth has the right to permanently withdraw the offer of the Grant if the Organisation is unable to meet this condition; (c) confirms it has sufficient funding available from all sources, cash and in-kind, to complete the Project as set out in its Grant Application Form and in accordance with the terms of this Agreement; (d) shall deliver the Project with reasonable care, skill and diligence and in accordance with the terms of this Agreement; (e) give warnings of any serious and material concerns regarding the Project or this Agreement to the Authorised Officer as soon as the Organisation becomes aware or should have become aware of such concerns; (f) permit the Authorised Officer or such other person as may be nominated by the Authorised Officer to inspect the provision of the Project and to interview the Organisation’s personnel and Project users in connection with the delivery of the Project; (g) shall keep clear financial and other records (including receipts) that can evidence all outgoing expenditure from the Grant and how it is spent; (h) shall collect and monitor Project Data for the purpose of monitoring and evaluating the use of the Grant and make such Project Data available to Age UK Wandsworth on request, including access to such Project Data at the Organisation's site; (i) shall submit completed Monitoring and End of Project Reports in the form requested by Age UK Wandsworth at the end of the Project and as and when required by Age UK Wandsworth from time to time throughout the Project; (j) shall show the Grant separately and clearly in its annual accounts as restricted funding; and (k) will ensure that beneficiaries of the Project are aware that contact information will be shared with Age UK Wandsworth, in accordance with the Data Protection Act 2018, for the purposes of Project audit and evaluation of the Age Well Central Fund only. Beneficiaries can include project participants, users, clients, audience members, volunteers, etc.
