Fee Properties. Circle K shall deliver to CrossAmerica and the Title Company a duly executed and acknowledged special/limited warranty deed (a "Deed") for each applicable CK Fee Property, in the form required by the law where each such Property is located and otherwise in form and substance reasonably satisfactory to the Parties.

Schedule 4.10(a) of the COP Disclosure Schedule identifies all real property assets the fee title to which is owned or held by ES Transferor or PTC as of the date of this Agreement and which are material to the Empress System Business.

Fee Properties. AS-IS." Purchaser either (a) has heretofore inspected each of the Fee Properties, or caused an inspection thereof to be made on Purchaser's behalf, or (b) will have done so prior to the end of the Due Diligence Period (as hereinafter defined) or (c) will have waived its right to do so as hereinbelow set forth, so that, by the end of the Due Diligence Period (as hereinafter defined), Purchaser shall be (or shall have had the opportunity to become) acquainted with the condition of the Fee Properties and the improvements located therein.
