Force Majeure 12. Форс-мажорные обстоятельства 12.1. ThePartiesshallbereleasedfromliability for partial or complete non-execution of the obligations under this Contract if the non- execution was the result of force majeure, arising after conclusion of the Contract as the result of events of an exceptional nature, which the Parties could not have foreseen nor averted by reasonable measures. Disasters, accidents, floods, earthquakes, diseases, fires, mass disorders, strikes, revolutions, military operations, the entry into force of legislative acts, government enactments and orders by state bodies, expressly or implicitly forbidden activities, specified in the Agreement, circumstances, connected with rejection/failure of working of Bank of Russia payments system, as well as any other circumstances beyond the parties control, defeating executing of obligations. 12.1. Сторона освобождается от ответственности за частичное или полное неисполнение обязательств по Договору, если это неисполнение явилось следствием обстоятельств непреодолимой силы, возникших в результате обстоятельств чрезвычайного характера, которые ▇▇▇▇▇▇▇ не могла ни предвидеть, ни предотвратить разумными мерами. К таким обстоятельствам чрезвычайного характера относятся стихийные бедствия, аварии, наводнения, землетрясения, эпидемии, пожары, массовые беспорядки, забастовки, революции, военные действия, вступление в силу законодательных актов, правительственных постановлений и распоряжений государственных органов, прямо или косвенно запрещающих указанные в Договоре виды деятельности, обстоятельства, связанные с отказом/сбоем работы системы расчетов Банка России, а также любые другие обстоятельства вне разумного контроля Сторон, препятствующие исполнению обязательств. 12.2. In case specified circumstances occur, performance of contractual obligations shall be adequately postponed on operating time of corresponding event.

Force Majeure 12. 1. If the execution of the order, as a result of unforeseen circumstances or force majeure, is rendered wholly or partially impossible, ▇▇▇▇ reserves the express right to consider the agreement terminated, or to unilaterally amend or defer it, such as exclusively judged by ▇▇▇▇, on the understanding that the interests of the Client shall not be violated. Force majeure, as referred to above, shall be taken to mean all involuntary disturbances or impediments, due to which the implementation of the agreement becomes more expensive or more difficult, such as storm damage and other natural disasters, impediments by third parties, all- out or partial strikes, lock-outs, civil disturbance in the Netherlands, in the country where the agreement is being executed or in the country of origin of the materials, war or war damage in the Netherlands and in other countries, loss or damage of material during transportation, illness or death of irreplaceable employees, embargoes and such impediments, fire and other accidents in any firm involved, as well as all other circumstances which are beyond the control of ▇▇▇▇.
Force Majeure 12. Форс-мажор 12.1 The parties hereto shall be deemed to be released from their responsibilities for any delay in performance which results from any cause beyond a party’s reasonable control including, but without limitation, any Act of God, embargo or other governmental act, regulation or request, fire, accident, strike, war, or riot. 12.1 Сторони звільняються від відповідальності за будь-які затримки в виконанні, які були результатом дії будь-яких обставин непереборної сили включаючи стихійні лиха, ембарго або інші урядові акти, постанови або розпорядження, пожежі, аварії, страйки, війни, повстання, але не обмежуючись цим. 12.2 The party who is unable to fulfill its obligations because of the circumstances outlined in 12.1 above shall immediately and in any event within 3 days notify the other party of the occurrence rendering such fulfillment impossible. 12.2 Сторона, яка не може виконати свої обов’язки у зв’язку з обставинами згідно Ст. 12.1 повинна негайно, але в будь-якому випадку на протязі 3 днів повідомити іншій стороні про настання таких обставин, яке унеможливлює виконання обов’язків. 12.3 Should the circumstances outlined in clause 12.1 last for more than 3 months, either party shall have the right to refuse to fulfill further obligations under this Contract, and in such event, neither party shall have any right or claim against the other for compensation or loss occasioned by the happening of any of the events in clause 12.1 hereof.

  • Force Majeur In case the Show Facility is damaged or destroyed, or in case of war, government regulations or any other circumstances whatsoever which will make it impossible or impractical for Show Management to permit Exhibitor to occupy the exhibit space described in this Agreement, this Agreement will terminate and Exhibitor will waive any claim for damages for compensation except the pro rata return of the amount paid for space rented, diminished only by a pro rata portion of the amounts expended to produce the Show.

  • Force Majeure If by reason of Force Majeure, either party hereto shall be rendered unable wholly or in part to carry out its obligations under this Agreement through no fault of its own then such party shall give notice and full particulars of Force Majeure in writing to the other party within a reasonable time after occurrence of the event or cause relied upon. Upon delivering such notice, the obligation of the affected party, so far as it is affected by such Force Majeure as described, shall be suspended during the continuance of the inability then claimed but for no longer period, and such party shall endeavor to remove or overcome such inability with all reasonable dispatch. In the event that Vendor’s obligations are suspended by reason of Force Majeure, all TIPS Sales accepted prior to the Force Majeure event shall be the legal responsibility of Vendor and the terms of the TIPS Sale Supplemental Agreement shall control Vendor’s failure to fulfill for a Force Majeure event.

  • Force Majeure Event 16.1 If a Force Majeure Event gives rise to a failure or delay in either party performing any obligation under this Agreement (other than any obligation to make a payment), that obligation will be suspended for the duration of the Force Majeure Event. 16.2 A party that becomes aware of a Force Majeure Event which gives rise to, or which is likely to give rise to, any failure or delay in that party performing any obligation under this Agreement, must: (a) promptly notify the other; and (b) inform the other of the period for which it is estimated that such failure or delay will continue. 16.3 A party whose performance of its obligations under this Agreement is affected by a Force Majeure Event must take reasonable steps to mitigate the effects of the Force Majeure Event.

  • Force Majeure Events a) Neither Party shall be responsible or liable for or deemed in breach hereof because of any delay or failure in the performance of its obligations hereunder (except for obligations to pay money due prior to occurrence of Force Majeure events under this Agreement) or failure to meet milestone dates due to any event or circumstance (a "Force Majeure Event") beyond the reasonable control of the Party experiencing such delay or failure, including the occurrence of any of the following: i) acts of God; ii) typhoons, floods, lightning, cyclone, hurricane, drought, famine, epidemic, plague or other natural calamities; iii) acts of war (whether declared or undeclared), invasion or civil unrest; iv) any requirement, action or omission to act pursuant to any judgment or order of any court or judicial authority in India (provided such requirement, action or omission to act is not due to the breach by the SPG or of any Law or any of their respective obligations under this Agreement); v) inability despite complying with all legal requirements to obtain, renew or maintain required licenses or Legal Approvals; vi) earthquakes, explosions, accidents, landslides; fire; vii) expropriation and/or compulsory acquisition of the Project in whole or in part by Government Instrumentality; viii) chemical or radioactive contamination or ionizing radiation; or ix) damage to or breakdown of transmission facilities of GETCO/ DISCOMs; x) Exceptionally adverse weather condition which are in excess of the statistical measure of the last hundred (100) years.

  • Force Majeure Exclusions 11.4.1 Force Majeure shall not include (i) any event or circumstance which is within the reasonable control of the Parties and (ii) the following conditions, except to the extent that they are consequences of an event of Force Majeure: a. Unavailability, late delivery, or changes in cost of the plant, machinery, equipment, materials, spare parts or consumables for the Power Project; ▇. ▇▇▇▇▇ in the performance of any contractor, sub-contractor or their agents; c. Non-performance resulting from normal wear and tear typically experienced in power generation materials and equipment; d. Strikes at the facilities of the Affected Party; e. Insufficiency of finances or funds or the agreement becoming onerous to perform; and f. Non-performance caused by, or connected with, the Affected Party’s: i. Negligent or intentional acts, errors or omissions; ii. Failure to comply with an Indian Law; or iii. Breach of, or default under this Agreement.
