Form of Conveyance. (a) The Premises shall be conveyed in fee simple absolute, subject to the Permitted Exceptions (hereinafter defined), by a good and sufficient special warranty deed (the "Deed") in substantially the form attached hereto as EXHIBIT D, running to Buyer or, subject to the provisions of Article 20 hereof, to Buyer or such assignee as Buyer designates by notice to Seller at least ten (10) business days prior to the Closing. The Deed shall convey title as existed at the end of the Title Review Period (as defined in Article 6(f)), subject only to the Permitted Exceptions. The Deed shall be in proper form for recording and shall be duly executed, acknowledged and delivered by Seller at the Closing, together with all necessary or applicable conveyance, gains and transfer tax forms and checks in payment of all conveyance, gains and transfer taxes.
(b) The Personal Property shall be conveyed by a bill of sale (the "Bill of Sale") substantially in the form attached h▇▇▇▇o as EXHIBIT E, ▇▇ be delivered by Seller to Buyer at Closing.
(c) Seller's interest in the Leases shall be conveyed pursuant to the Lease Assignment (as hereafter defined).
(d) Seller's interest in the Contracts shall be conveyed pursuant to the Contract Assignment (the "Contract Assignment") substantially in the form of EXHIBIT F.
(e) The Intangibles shall be conveyed pursuant to a General Assignment (the "General Assignment") substantially in the form of EXHIBIT G.
Form of Conveyance. At the Closing, Seller shall grant and convey legal title to the Premises to Buyer pursuant to a warranty deed, subject only to (a) the lien of taxes on the Premises not yet due and payable and (b) the easements, covenants, conditions, and restrictions of record as shown on the title commitment referenced above and not objected to by Buyer during the Due Diligence Period.

The Deed shall convey a good and clear record and marketable title to the Property, insurable on the ALTA Form B with standard printed exceptions deleted, and without exception for creditors' rights at standard rates approved by Buyer prior to the end of the Due Diligence Period, free from all liens, encumbrances and encroachments from or on the Property except (i) those listed on Exhibit A-1 attached hereto, together with any other matters identified in Buyer's title examination during the Due Diligence Period (other than the mortgages, all of which shall be discharged by Seller) and (ii) the Leases identified in Exhibit C attached hereto and made a part hereof and those leases approved by Buyer under Article 13(c) hereof. The Deed shall be in proper form for recording and shall be duly executed, acknowledged and delivered by Seller at the Closing, together with all necessary or applicable payments from Seller for transfer taxes. If the Deed refers to a plan necessary for recording, Seller shall deliver the same at Closing in recordable form.
Form of Conveyance. Wingfoot shall convey Wingfoot’s TIC Interest, and shall cause that portion of Wingfoot’s TIC Interest conveyed to a third-party, if any, to be conveyed to Greeley, free and clear of all liens and encumbrances except for Permitted Exceptions, by executing the forms attached hereto as Exhibit Q (the “Tenancy in Common Conveyance Documents”).

The Deed shall be in proper form for recording and shall be duly executed, acknowledged and delivered by Seller at the Closing, together with all necessary or applicable conveyance, gains and transfer tax forms and checks in payment of all conveyance, gains and transfer taxes.
Form of Conveyance. The Property shall be conveyed to Purchasers at closing by a standard form quitclaim deed whereby Seller conveys all right title and interest it may have in the premises with no warranties.
Form of Conveyance. Subject to this Article 19, and as otherwise set forth in this Article 19, the conveyances to be made by Zebra at Closing shall be in the form of Exhibit D.
Form of Conveyance. (a) Notwithstanding anything contained in this Agreement to the contrary, if prior to the Closing Date AZIW makes the "Nominee Election", the "Partnership Election" or the "Assignment Election" (each as hereinafter defined), then the applicable provisions of this Article 18 shall apply; it being agreed that if AZIW makes neither the Nominee Election, the Partnership Election nor the Assignment Election, then the provisions of this Article 18 shall be deemed inapplicable and the Closing shall occur without reference to this Article 18.
