Form of Contract. The form of contract for this solicitation shall be the Request for Proposal, the awarded proposal(s) and best and final offer(s), and properly issued and reviewed purchase orders referencing the requirements of the Request for Proposals. If a vendor submitting an offer requires TIPS and/or TIPS Member to sign an additional agreement, a copy of the proposed agreement must be included with the proposal. Vendor contract documents: TIPS will review proposed vendor contract documents. Vendor’s contract document shall not become part of TIPS’s contract with vendor unless and until an authorized representative of TIPS reviews and approves it.

Form of Contract. Section 16.76(1) of the Wisconsin Statutes, is incorporated by reference into this contract, as applicable.

Form of Contract. 3.1 The framework agreement is intended to define the relationship between the participating parties and to set out the terms and conditions under which specific service contracts (“call-offs”) may be made throughout the term of the framework agreement. 3.2 The framework agreement should help simplify the tendering process for both the successful Contractors and the users of the framework. In addition, the Framework Agreement will enable the Client’s personnel responsible for arranging the provision of these Services, to select the successful contractors for individual projects as they occur. 3.3 The initial period of the Framework Agreement will be two years, with the option of two additional one year extensions, subject to continuing business needs and satisfactory performance of the services by the Contractor. 3.4 The expiry or early termination of the Framework shall not automatically terminate any assignment that is in existence at the time of any such expiry or early termination. 3.5 The establishment of a Framework Agreement does not automatically terminate any existing assignments awarded by any Client under a previous arrangement 3.6 Where there is a need to make a call-off, or purchase specific services under the Framework, the Client will use the most appropriate of the following. Identify directly from the Framework the most capable Contractor; hold a mini-competition between all Contractors deemed capable of meeting the need for a specific assignment in order to establish which supplier provides the “most economically advantageous” offer based on award criteria; Operate a carousel / rota system 3.7 Should there be a mini-competition stage, evaluation criteria will often carry different weightings to those used at the Tender stage. Contractors will be allowed on viewing any extra detail provided at this stage to offer a discount on their standard Framework Rate in order to be competitive. 3.8 The Client shall be entitled, but not obliged, at any time during the term of the Framework Agreement to order services from the Contractor. Tendered rates and charges will be the maximum applicable for the full framework term.

Form of Contract. Execution of the Contract by all named parties will authorize delivery of services obtained under this Invitation to Bid.
