Full Time and Efforts Sample Clauses

Full Time and Efforts. During the Term, the Executive shall devote all of his full time, efforts and attention to the business and affairs of the Corporation and use his best efforts to promote the success of the Corporation. The Executive will, at all times, act in the best interests of the Corporation. The Executive shall not, without the prior written approval of the Board of Directors, accept any other employment or serve as a director of any business other than the Corporation, except in the capacity of an investor of money and so long as such monetary investment does not affect the conduct of the Executive’s duties as set forth in this Agreement.

Full Time and Efforts. Unless prevented by ill health, or physical or mental disability or impairment, the Executive shall, during the term hereof, devote his full time, effort, care and attention to his duties set out in this Agreement and to the business of the Company in order to properly discharge his duties hereunder and the Executive shall not be employed with any other business venture without the written consent of the Board.

The Employee will at all times faithfully, diligently, and to the best of the Employee’s abilities, perform all duties and assume all responsibilities required of him under this Agreement. The Employee will not, while employed by the Company hereunder, render or perform any services for any other corporation, firm, entity or person which are inconsistent with the Employee’s duties to the Company or which would otherwise impair the Employee’s ability to perform the Employee’s duties hereunder.

Executive shall devote not less than fifty (50) hours per week to the Company's business. Except for serving on corporate board of directors that have been approved in advance by the Board, consulting with companies who Executive maintains a passive investment interest, and engaging in personal passive investment activities, the Executive shall not, without the prior express approval of the Board, be involved in any other outside business endeavours.

Full Time and Efforts. Subject to vacations provided for in section 3.08, ▇▇▇▇▇ shall during the Term, devote his full time, efforts and attention to the fulfillment of the duties and responsibilities of his positions with the Hospital.

However, the Executive shall be entitled to devote a reasonable amount of time to service with religious, charitable and other non-profit organizations, to service on advisory boards and boards of directors of trade associations, and to such other business entities that do not compete with the business of the Company, to the extent that the cumulative burden of such service does not, in the reasonable view of the President of the Company, interfere with the Executive's primary responsibility to the Company. The Executive shall keep the President of the Company apprised of the fact and demands of each such activity.
