Future Conditions Clause Samples

A Future Conditions clause defines how parties will address circumstances or requirements that may arise after the agreement is executed but are not yet known or fully specified. Typically, this clause outlines procedures for handling unforeseen events, such as changes in law, market conditions, or project specifications, and may require parties to negotiate in good faith or follow a set process to adapt to these changes. Its core function is to provide flexibility and a clear framework for managing uncertainty, ensuring that the contract remains workable even as future developments occur.
Future Conditions. Future (2030) traffic information shall be developed for two scenarios: no-build and build. The consultant shall provide peak season and Average Annual Daily (AADT) volume projections including morning and evening peaks, movements and directions, design hourly volumes (DHV), peak hour factor (PHF) and traffic composition (i.e., passenger cars, trucks, buses, or recreational vehicles).
Future Conditions. A. If the City’s voters approve annexation into the District, full title to the Premises and the Joint Reserve Fund will be transferred to the District at no cost to the District, provided, that the District will be responsible to the City for any outstanding Bonds issued by the City under Paragraph 6 herein which shall become due in full to the City no later than (1) the final maturity of the Bonds, or (2) six years, whichever is sooner. The District shall make required payments under this section annually, at least sixty days in advance of any required payments from the City to its bondholders beginning the year in which the District first collects taxes from City residents. B. If the District’s voters approve dissolution of the District pursuant to RCW 27.12.320, full title to the Premises (including the then-existing collection and all the furniture, fixtures & equipment in the New Library) and the Joint Reserve Fund will be transferred to the City at no cost to the City to allow the City to maintain a public library in Sedro-▇▇▇▇▇▇▇ and a power of termination in favor of the City to enforce this obligation shall be included in the deed for the Premises. C. If a ballot proposition is approved in Skagit County creating a countywide rural county library district pursuant to RCW 27.12.470, resulting in the dissolution of the District, unless the new rural county library district assumes the rights and responsibilities of the District under the ILAs, full title to the Premises (including the then-existing collection and all the furniture, fixtures & equipment in the New Library) and the Joint Reserve Fund will be transferred to the City at no cost to the City to allow the City to maintain a public library in Sedro-▇▇▇▇▇▇▇ and a power of termination in favor of the City to enforce this obligation shall be included in the deed for the Premises.

Future Conditions. Based on the projected growth for the Port facilities, the two planning horizon years were forecasted for the PM peak hours for both the No-Build and Build conditions. While the airport terminal has a peak during the midday, the PM peak hour was selected due to the fact that the existing traffic count data indicated that the this period has the highest level of traffic activity at intersections (which would indicate the worst traffic conditions) in comparison to the midday or AM peak hour.2 Mitigation measures or facility improvements will be identified where future conditions do not meet the identified performance measures set forth by the City of Portland and the Oregon Department of Transportation for intersection operations. In situations where the facility is not meeting the established performance standards under No Build conditions, the facility will be mitigated if it has a significant impact under Build conditions based on an additional 10 seconds of delay and/or an increase of 0.05 V/C ratio or more beyond No Build conditions. In these cases, the improvements will try to mitigate the significant impacts, at a minimum.
Future Conditions. The consultant will analyze future traffic conditions. All analyses shall be conducted using the current edition of the Highway Capacity Manual (HCM) for the current year of 2018.
Future Conditions. The consultant will determine if any additional traffic signals are warranted under future traffic conditions (Task 200). The consultant will analyze for future traffic conditions (Task 200) each alternative conceptual plan (Task 400) for corridor performance and all existing and future signalized intersection’s performance. All analyses shall use the methodology of the Transportation Research Board’s Highway Capacity Manual 2000. The consultant will further analyze for each alternative conceptual plan (Task 400) the U.S. Hwy 44/Omaha Street, Main Street and St. ▇▇▇▇▇▇ Street intersections with respect to their operation during periods of rail movements at the Mount Rushmore Road/DME Railroad grade crossing. The consultant will provide for each alternative conceptual plan (Task 400) recommendations for traffic control devices, pavement markings and traffic signal timing plans to enhance future traffic operations, traffic safety, pedestrian safety and non-motorized transportation safety within the corridor.
Future Conditions. The inspection shall cover only current conditions visible and accessible at the time of the inspection. It shall not cover latent conditions not visible or revealed by minor probing and sounding. Minor probing and sounding is generally limited to the large structural wood members within the areas inspected. The inspector nor their firm shall in no way be held responsible for future infestations, damages or conditions that were not visible at the date of the inspection. It is a “snap shot” in time and does not constitute a warranty of any nature and should not be construed as one. NOTE: There are certain wood destroying insects that go dormant during certain times of the year and may not be visible during the inspection due to their seasonal activity cycles. Therefore, neither the Inspector nor their firm will be responsible for infestations that may not be visible on the date of the inspection due to seasonal activity cycles of certain insects.
Future Conditions. The consultant shall work with data from the Rapid City MPO’s traffic model to project Future (2045) traffic conditions for multiple conceptual scenarios: no-build and build. The consultant shall provide peak season and Average Annual Daily Traffic (AADT) volume projections including morning and evening peaks, movements and directions, design hourly volumes (DHV), peak hour factor (PHF) and traffic composition (i.e., passenger cars, trucks, buses, or recreational vehicles).
Future Conditions a. City Population forecasts – ▇▇▇▇ has indicated they worked with ▇▇▇▇ ▇▇▇▇ from OP to confirm future OP population and employment. The City’s planning department will be responsible for validating future 2050 population and employment by ▇▇▇▇ ▇▇▇ and the split of zones by the consultant. ▇▇▇▇ has indicated they don’t develop a 2040 land use forecast so 2040 forecasts will be interpolated linearly between 2019 base year and 2050 forecasted year. b. Missing Links - The missing links analysis will identify locations where missing links will be connected or not due to their impact on surrounding roads. c. Intersection Control – Intersection control will be tested to see if a roundabout can be used with rule of thumb single lane and double lane roundabout capacity analysis.
Future Conditions. The consultant will determine if any additional traffic signals are warranted under future traffic conditions (Task 200). The consultant will analyze for future traffic conditions, corridor performance and the performance of those intersections specified in Task 100. All analyses shall be conducted using the methodology of the Transportation Research Board’s Highway Capacity Manual 2000.
