Common use of Garbled Transmissions Clause in Contracts

Garbled Transmissions. If any properly transmitted Electronic Document is received in an unintelligible or garbled form, the receiving party shall promptly notify the originating party in a reasonable manner, unless the originating party is unidentifiable from the received Electronic Document. In the absence of such a notice, subject to the above exception, the originating party's records of the contents of such Electronic Document shall control.

If any properly transmitted Electronic Document Transaction is received in an unintelligible or garbled form, the receiving party Party shall promptly notify the originating party Party (if identifiable) in a reasonable manner, unless the originating party is unidentifiable from the received Electronic Document. In the absence of such a notice, subject to the above exception, the originating party's Party’s records of the contents of such Electronic Document electronic transaction shall control, unless the identity of the originating Party cannot be determined from the received Electronic Transaction.
