General Scope of Duties. The DPA shall perform the Required Work and such other related tasks as agreed to by the Director and the DPA with respect to the Portfolio. The DPA may subcontract its technical processing duties under the Agreement pursuant to Article 6 below but may not delegate to any other entity the underwriting duties under the Agreement without the prior written approval of the Director. Under all such circumstances, the DPA retains the responsibility for the performance of its duties. The DPA’s duties are more fully described in Operating Procedures Guide.
General Scope of Duties. (a) From and after the date hereof, the Servicer shall service and administer the Loans pursuant to the terms hereof without regard to the terms of any other agreement with respect to the servicing of the Loans. (b) The Servicer's duties hereunder are generally to provide loan administration servicing on behalf of the Master Servicer as agent for the Issuer, including but not limited to the collection of payments for the reduction of principal and application of interest, the remittance of collected payments, certain foreclosure services as specified herein, and the employment of collection personnel to perform such services. Subject to the terms and conditions set forth herein, the Servicer shall service and administer the Loans in accordance with all requirements of applicable law, and otherwise in accordance with all other terms of this Agreement and the terms of the respective Loans (including the related Debt Instruments and Mortgages), on behalf of the Master Servicer as agent for the Issuer and consistent with the ordinary practices of prudent mortgage lending institutions, but without regard to: (i) any relationship that the Servicer or any affiliate of the Servicer may have with the related Obligor; (ii) the Servicer's obligation to make Advances pursuant to this Agreement; or (iii) the Servicer's right to receive compensation for its services hereunder. (c) Subject only to the above-described servicing standards and the terms of this Agreement and of the respective Loans, the Servicer shall have full power and authority, to do or cause to be done any and all things in connection with such servicing and administration which it may deem necessary or desirable (including exercising any remedy under any Loan, retaining counsel in connection with the performance of any of its obligations hereunder, and instigating litigation to enforce any obligation of any Obligor, without the consent or approval of the Indenture Trustee, unless any such consent or approval is expressly required hereunder or under the Sale and Servicing Agreement or applicable law, and except that the consent of the Indenture Trustee shall be required prior to the taking of any action with respect to any Loan or Property as to which the Servicer is on notice of any potential environmental liabilities with respect to such Property), subject only to applicable laws, this Agreement, and the respective Loans. General Scope of Duties. The Access Consultant will report to the parties concerning the Department’s compliance with this Settlement Agreement. The activities performed by the Access Consultant shall include, and be limited to, the following: 1) Reviewing Program Access Improvements annually for compliance with this Settlement Agreement. 2) Consulting, as needed, with appropriate Department employees such as the contract manager and the author of the Department’s Annual Report to obtain any information concerning compliance with the terms of the Settlement Agreement. 3) Conducting field spot checks of Pedestrian Facilities and Park and Ride Facilities, as needed, to verify that (i) completed Program Access Improvements; (ii) completed New Construction or Alterations; (iii) completed CapM projects; and/or (iv) the provision of accessible Temporary Routes, when provided through and around Work Zones, are in compliance with this Settlement Agreement. 4) Reviewing a random sample of grievances and the Department’s response. 5) Providing an annual written report. The written report shall be delivered to the contract manager and to the parties in a manner consistent with the Settlement Agreement Section 5.2.3.2. within sixty (60) working days of receipt of the Department’s Annual Report. The written report shall document and analyze: (a) The Department’s compliance with the terms of this Settlement Agreement; and (b) The Department’s Annual Report.

  • Scope of Duties Without limiting the generality of the foregoing, the Custodian shall be under no duty or obligation to inquire into, and shall not be liable for: (1) The acts or omissions of any agent appointed pursuant to Instructions of the Fund or its investment advisor including, but not limited to, any broker-dealer or other entity to hold any Assets of the Fund as collateral or otherwise pursuant to any investment strategy. (2) The title, genuineness or validity of the issue of any Securities purchased by the Series, the legality of the purchase thereof, or the propriety of the amount paid therefor; (3) The legality of the sale of any Securities by the Series or the propriety of the amount for which the same are sold; (4) The legality of the issue or sale of any Shares, or the sufficiency of the amount to be received therefor; (5) The legality of the redemption of any Shares, or the propriety of the amount to be paid therefor; (6) The legality of the declaration or payment of any distribution of the Series; or (7) The legality of any borrowing for temporary administrative or emergency purposes.

  • Nature of Duties The Agent shall have no duties or responsibilities except those expressly set forth in the Agreement. Neither the Agent nor any of its partners, members, shareholders, officers, directors, employees or agents shall be liable for any action taken or omitted by it as such under the Agreement or hereunder or in connection herewith or therewith, be responsible for the consequence of any oversight or error of judgment or answerable for any loss, unless caused solely by its or their gross negligence or willful misconduct as determined by a final judgment (not subject to further appeal) of a court of competent jurisdiction. The duties of the Agent shall be mechanical and administrative in nature; the Agent shall not have by reason of the Agreement or any other Transaction Document a fiduciary relationship in respect of any Debtor or any Secured Party; and nothing in the Agreement or any other Transaction Document, expressed or implied, is intended to or shall be so construed as to impose upon the Agent any obligations in respect of the Agreement or any other Transaction Document except as expressly set forth herein and therein.
