General Use and Disclosure Provisions. Except as otherwise limited in this Agreement, Business Associate may use or disclose PHI on behalf of, or to provide services to, Covered Entity for the purposes set forth in III(b), if such use or disclosure of PHI would not violate the Privacy or Security Rule if done by Covered Entity.

Except as otherwise limited in this Agreement, Business Associate may use or disclose PHI to perform functions, activities, or services for, or on behalf of, or to provide services to, the Covered Entity as specified in or required by the Underlying Services Agreements (including to Plan Sponsor for the purposes permissible Plan administration functions), provided that, except as set forth in III(b)Section 3.b., if such use or disclosure of PHI would not violate the Privacy or Rule and Security Rule if done by Covered Entity.
