Good Condition. All goods provided by Contractor pursuant to this Agreement shall be in good condition upon delivery and free from any and all defects, including, but not limited to, damaged packaging, spoilage, over-ripeness, decay, or bruising.

ZGNA and the Contributed Subsidiaries have not received notice of, and have no knowledge of, any pending, threatened or contemplated condemnation proceeding or similar taking affecting the assets of the Contributed Subsidiaries (including the Subsidiary Real Properties).
