GROUNDS FOR TERMINATION Notwithstanding. any other provision of this Agreement to the contrary, this Agreement may be terminated and abandoned by either (a) the Purchaser or (b) the Shareholders, acting in unanimity, pursuant to a written notice to the other Party or Parties, if (i) the other Party or Parties has breached any representation, warranty or covenant contained in this Agreement in any material respect, and after receiving notice of such breach, the Party or Parties in breach has not cured the breach within fifteen (15) days after the notice of breach is received, or (ii) the Closing shall not have occurred by 11:59 p.m. (EST on July 30, 1999 (the "Termination Date") or such other date as the Parties shall have agreed in writing to be the Termination Date.
