GTC Authority. 11.7.1 GTC or its operating agent may take whatever actions or inactions with regard to the GTC Transmission System it deems necessary during an Emergency Condition or System Emergency in order to (i) preserve public health and safety, (ii) preserve the reliability of the GTC Transmission System, (iii) limit or prevent damage on the GTC Transmission System and to other interconnected systems, and (iv) expedite restoration of service. GTC shall use reasonable efforts to minimize the effect of such actions or inactions on the Generating Facility or the Applicant Interconnection Facilities. GTC or its operating agent may, on the basis of technical considerations, require the Generating Facility to mitigate an Emergency Condition or System Emergency by taking actions necessary and limited in scope to remedy the Emergency Condition or System Emergency, including, but not limited to, directing Applicant to shut- down, start-up, increase or decrease the real or reactive power output of the Generating Facility; implementing a reduction or disconnection pursuant to Article 11.6.2; directing Applicant to assist with blackstart (if available) or restoration efforts; or altering the outage schedules of the Generating Facility and Applicant Interconnection Facilities. Applicant shall comply with all of GTC’s or operating agent’s operating instructions concerning Generating Facility real power and reactive power output within the manufacturer's design limitations of the Generating Facility's equipment that is in service and physically available for operation at the time, in compliance with applicable laws and regulations of a Governmental Authority. 11.7.2 GTC or its operating agent may reduce interconnection service or disconnect the Applicant Facilities, when such reduction or disconnection is necessary under Good Utility Practice due to an Emergency Condition or System Emergency. These rights are separate and distinct from any right of curtailment of GTC pursuant to the GTC Tariff. When GTC can schedule the reduction or disconnection in advance, GTC shall notify Applicant of the reasons, timing and expected duration of the reduction or disconnection. GTC or its operating agent shall coordinate with Applicant using Good Utility Practice to schedule the reduction or disconnection during periods of least impact to Applicant and GTC.   • Developer Authority Consistent with Good Utility Practice and this Agreement, the Developer may take whatever actions or inactions with regard to the Large Generating Facility or the Developer Attachment Facilities during an Emergency State in order to (i) preserve public health and safety, (ii) preserve the reliability of the Large Generating Facility or the Developer Attachment Facilities, (iii) limit or prevent damage, and (iv) expedite restoration of service. Developer shall use Reasonable Efforts to minimize the effect of such actions or inactions on the New York State Transmission System and the Connecting Transmission Owner’s Attachment Facilities. NYISO and Connecting Transmission Owner shall use Reasonable Efforts to assist Developer in such actions.

  • Proper Authority Each Party represents and warrants that the person executing this Grant Agreement on its behalf has full power and authority to enter into this Grant Agreement.

  • Legal Authority The Contractor warrants and assures H-GAC that it possesses adequate legal authority to enter into this Agreement. The Contractor's governing body, where applicable, has authorized the signatory official(s) to enter into this Agreement and bind the Contractor to the terms of this Agreement and any subsequent amendments hereto.

  • Decision-Making Authority BMS shall have the sole decision-making authority for the operations and Commercialization strategies and decisions, including funding and resourcing, related to the Commercialization of Products; provided that such decisions are not inconsistent with the express terms and conditions of this Agreement, including BMS’ diligence obligations set forth in Section 5.1.
