Hold Separate Sample Clauses

A Hold Separate clause requires parties, typically in the context of mergers or acquisitions, to keep certain business operations, assets, or entities separate and independent until specific conditions are met, such as regulatory approval. In practice, this means the buyer cannot integrate the target company’s operations, share sensitive information, or exercise control over the target’s business during the hold period. The core function of this clause is to prevent premature integration that could raise antitrust concerns or violate regulatory requirements, thereby ensuring compliance and preserving competition until all necessary approvals are obtained.
