HOUSING CONDITIONS. The Project shall at all times remain a 100% rental development of 312 units. No less than 10% of units shall be leased to Eligible Tenants earning up to 65% of AMI (hereinafter, “Low-Income Units”) and no less than 3% of the units shall be leased to Eligible Tenants earning up to 80% AMI (hereinafter, “Affordable Units”) where an “Eligible Tenant” is a family or individual who will live in the Unit as their primary residence.
HOUSING CONDITIONS. Prior to and as a condition of the issuance of a partial Certificate of Compliance for any building in the Residential Development, WLP will record at the Registry an Affordable Housing Restriction acceptable to, and to be held by, the Town that runs with the land in perpetuity and will provide thirty-six (36) income-restricted housing units, twenty-eight (28) of which units will be affordable for individuals and families earning up to 65% of Area Median Income (“AMI”), and eight (8) of which will be affordable for families earning up to 80% of AMI. WLP shall provide the Commission with copies of all monitoring reports submitted to the Town.
HOUSING CONDITIONS. The competent authority of the territory of immigration shall ensure that migrants and the members of their families have hygienic and suitable housing, in so far as the necessary housing is available.
HOUSING CONDITIONS. Where staff’s housing facilities are provided, we require that workers’ safety is a priority concern. The recommended safety and workplace conditions described above are applicable to these housing facilities. All workers should be provided with their own individual bed, and the living space per worker must meet the minimum legal requirement. Dormitories, toilets and showers should be separated for men and women. There should be no restriction on workers’ rights to leave the dormitory during off-hours. Fire alarms, fire extinguishers, unobstructed emergency exits and evacuation drills are of particular importance in dormitory areas.

Prior to and as a condition of the issuance of a partial Certificate of Compliance for any building in the Residential Development, a condominium conversion restriction, reviewed and approved by Commission staff, shall be recorded in the Registry on all units of in the Residential Development which requires every current and subsequent owner(s) of all or any portion of the Residential Development to maintain the 272 units as rental units. The restriction will contain language which, covenants and agrees not to convert the Residential Development or any portion thereof to a condominium development, or file a condominium map or establish a condominium regime (collectively, the "Condominium Conversion Restriction") for a period equal to twenty-five (25) years, commencing after issuance of the Certificate of Compliance for the Residential Development, which completion is evidenced by the issuance of the certificate of occupancy for the Residential Development (the "Restrictive Period") HOU3.   • Post-Closing Conditions On or before each of the dates specified in this Section 4.3 (unless a longer period is agreed to by the Administrative Agent in writing), the Borrower shall satisfy each of the following items specified in the subsections below:

  • Closing Conditions (a) The obligations of the Company hereunder in connection with the Closing are subject to the following conditions being met: (i) the accuracy in all material respects (or, to the extent representations or warranties are qualified by materiality or Material Adverse Effect, in all respects) on the Closing Date of the representations and warranties of the Purchasers contained herein (unless as of a specific date therein in which case they shall be accurate as of such date); (ii) all obligations, covenants and agreements of each Purchaser required to be performed at or prior to the Closing Date shall have been performed; and (iii) the delivery by each Purchaser of the items set forth in Section 2.2(b) of this Agreement. (b) The respective obligations of the Purchasers hereunder in connection with the Closing are subject to the following conditions being met: (i) the accuracy in all material respects (or, to the extent representations or warranties are qualified by materiality or Material Adverse Effect, in all respects) when made and on the Closing Date of the representations and warranties of the Company contained herein (unless as of a specific date therein in which case they shall be accurate as of such date); (ii) all obligations, covenants and agreements of the Company required to be performed at or prior to the Closing Date shall have been performed; (iii) the delivery by the Company of the items set forth in Section 2.2(a) of this Agreement; (iv) there shall have been no Material Adverse Effect with respect to the Company since the date hereof; and (v) from the date hereof to the Closing Date, trading in the Common Stock shall not have been suspended by the Commission or the Company’s principal Trading Market, and, at any time prior to the Closing Date, trading in securities generally as reported by Bloomberg L.P. shall not have been suspended or limited, or minimum prices shall not have been established on securities whose trades are reported by such service, or on any Trading Market, nor shall a banking moratorium have been declared either by the United States or New York State authorities nor shall there have occurred any material outbreak or escalation of hostilities or other national or international calamity of such magnitude in its effect on, or any material adverse change in, any financial market which, in each case, in the reasonable judgment of such Purchaser, makes it impracticable or inadvisable to purchase the Securities at the Closing.

  • Existing Conditions Tenant accepts the Property in its condition as of the execution of the Lease, subject to all recorded matters, laws, ordinances, and governmental regulations and orders. Except as provided herein, Tenant acknowledges that neither Landlord nor any agent of Landlord has made any representation as to the condition of the Property or the suitability of the Property for Tenant's intended use. Tenant represents and warrants that Tenant has made its own inspection of and inquiry regarding the condition of the Property and is not relying on any representations of Landlord or any Broker with respect thereto. If Landlord or Landlord's Broker has provided a Property Information Sheet or other Disclosure Statement regarding the Property, a copy is attached as an exhibit to the Lease.
